UNDERSTAND THE STRUCTURE

What makes a Section 8 company different?

A Section 8 company combines a corporate structure with restrictions designed around its objects. Members do not receive dividends, and income must support the mission. Incorporation establishes the entity; it does not replace sector permissions or tax review. The proposal should therefore address both its activities and its governance from the start.

BEFORE THE APPLICATION

Is a Section 8 company suitable for your project?

Suitability depends on the intended activities, use of income and willingness to follow corporate governance requirements. A project designed to distribute profits to its members does not fit the Section 8 framework. Founders should review the activities and funding plan before deciding whether a company, trust or society best serves the mission.

Explain your purpose in practical terms

Describe what the organisation will actually do, where it will work and whom it will benefit. For an education initiative, explain the programme rather than merely writing “education”. For an environmental project, identify the proposed activities and their connection to the mission.

The statutory framework includes a range of objects; it does not mean that every proposed activity or licence is automatically permitted. Regulated services need their own assessment. Avoid drafting a broad collection of unrelated objects simply to cover possible future plans.

Clarify who will govern the company

Identify the proposed members and directors, how decisions will be made and what contributions are intended. Member and director requirements depend on the company structure and applicable provisions. Review residency, consent, eligibility and any body-corporate or overseas participation before filing.

Agree who will maintain records, oversee finances and approve programmes. A company’s constitution should provide a workable governance arrangement rather than copying clauses that do not match how the founders intend to operate.

CHOOSE WITH CONTEXT

How does a Section 8 company compare with a trust or society?

A Section 8 company, trust and society are different legal structures for mission-led activity. The appropriate choice depends on governance, membership, assets, planned operations and the governing law. None of these labels automatically establishes tax exemption, donor deductions or grant eligibility. Compare the working arrangement before choosing the registration route.

Recurring obligationsCompany records, accounts and applicable annual filings.Records and filings depend on the governing law and registrations.

For a useful comparison, share whether the project will hold property, run programmes, charge for activities, employ staff or seek institutional grants. Existing operations or an already-registered entity should also be disclosed. Do not assume that choosing a new structure automatically transfers assets, contracts or permissions.

PREPARE ONCE, CHECK CAREFULLY

Which documents are needed for Section 8 incorporation?

Begin with identity and address records for the proposed founders, registered-office evidence and a clear statement of objects. Constitutional documents and declarations must match the chosen structure and applicable filing requirements. The checklist below supports preparation; the final attachments and linked forms must be checked against current MCA instructions.

CategoryKeep readyReview point

Your preparation checklist

These checkboxes send no information and are not stored after the page session.

Provide legible records and identify missing information early. For founders who are body corporates or persons outside India, the signing and authentication requirements may differ. A rented address, a shared office or a proposed correspondence address should be reviewed against the particular form requirements before filing.

FROM PURPOSE TO APPLICATION

How is a Section 8 company incorporated?

The application begins with the objects and founders, followed by name review, document preparation and the applicable MCA filing process. Approval depends on legal requirements and scrutiny. Treat filing and any resubmission as part of the process; retain the approved records and plan post-incorporation responsibilities once the company is registered.

  1. Define objects and structure

Prepare a mission brief, proposed activities and governance plan. Decide the intended company structure after reviewing the founders and funding model.

  2. Organise founders and signing

Review identity records, consent, DIN information and digital-signature needs. Confirm who will sign and who must provide professional certification.

  3. Review the proposed name

Check names against the applicable MCA naming requirements. Use a name consistent with the objects and avoid implying government patronage or approvals that do not exist.

  4. Prepare the constitutional records

Prepare and review the memorandum, articles, office evidence and required declarations. Make sure the factual details align across the application.

  5. Submit through the applicable MCA route

Use SPICe+ and applicable linked filings following current instructions. Coordinate the Section 8 licence requirements within the applicable new-company process.

  6. Address scrutiny and complete the handover

Respond accurately to clarification or resubmission requirements. After approval, retain the incorporation and licence records and plan the next compliance steps.

Current filing route matters. MCA’s V3 guidance addresses SPICe+ and linked filings. Older checklists may treat declarations as separate attachments when the current route incorporates them into a form. Use current instructions for the actual application.

A DEFINED SCOPE

What affects the fees and incorporation timeline?

Fees depend on the proposed structure, professional work, digital signatures and applicable statutory charges. Timing depends on document readiness, name review, portal functioning and authority scrutiny. Ask for a scope separating incorporation from later approvals and annual compliance. No universal fee or fixed approval period is stated on this page.

01

PROFESSIONAL WORK

What is included?

Confirm whether the scope covers objects, MOA/AOA drafting, name review, filing, professional certification and responses to ordinary scrutiny.

  • Identify additional work separately
  • Clarify responsibility for supporting records
  • Confirm the incorporation handover
02

EXPENSES

What is payable separately?

Request an estimate of applicable government charges, digital signatures and incidental expenses. Their treatment should be transparent in the engagement.

  • Check live statutory charges
  • Separate expenses from professional fees
  • Do not confuse contributions with service fees
03

PROGRESS

What can affect timing?

Missing documents, inconsistent records or name and object queries can affect progress. Portal and authority review are outside a preparation estimate.

  • Provide complete records early
  • Answer clarification requests accurately
  • Track the current application status

INCORPORATION IS THE START

What should you plan after approval?

After incorporation, the company needs organised banking, accounting, governance records and applicable filings. Its status also requires continuing attention to the objects and use of funds. Plan responsibilities at the beginning, including who will maintain books, coordinate the auditor, preserve meeting records and track any separate approval obligations.

Keep the organisation’s records together

Retain the incorporation certificate, licence records, approved constitutional documents and filing acknowledgements. Organise the relevant statutory registers, financial records and decision records. Set up banking through the bank’s due-diligence process and identify authorised signatories through appropriate company decisions.

Discuss auditor appointment, annual financial and return filings, applicable income-tax obligations and any activity-specific registrations. Use a calendar based on the company’s circumstances and current exemptions, rather than copying an ordinary-company checklist without review.

Keep approvals and funding conditions distinct

Income-tax registration and donor-related approval are separate from incorporation. For new applications in 2026, review the Income-tax Act, 2025 and current forms, including the transitional position of older registrations. Do not market the company as automatically tax-exempt.

Assess CSR implementing-agency conditions before seeking CSR projects. Where a proposed receipt is foreign contribution, check FCRA registration or prior permission requirements before accepting it. Donor terms, restricted grants and reporting obligations also need a clear record.

Avoid automatic-benefit claims. Incorporation does not guarantee grants, CSR funding, tax approval or permission to accept foreign contributions. Each depends on separate legal and factual requirements.

PREVENT APPLICATION GAPS

Which common mistakes should founders avoid?

Frequent preparation problems include vague objects, inconsistent identity details, incomplete office evidence and an unclear governance plan. Another issue is bundling incorporation with approvals that require separate eligibility. Prepare a coherent application based on the actual proposal, and check the current filing route rather than relying on a dated template.

01

OBJECTS

Avoid an unfocused mission

An expansive list of unrelated activities may not explain what the company will do.

  • Identify activities and beneficiaries
  • Align the name and objects
  • Review regulated activities separately
02

RECORDS

Reconcile the details

Name, address and authority records should agree across the package.

  • Resolve spelling differences
  • Check office consent and evidence
  • Identify missing or outdated records
03

EXPECTATIONS

Plan beyond the certificate

Founders should understand ongoing duties and separate permissions.

  • Assign accounting responsibilities
  • Budget for recurring compliance
  • Assess funding conditions independently

DIRECT ANSWERS

What do founders ask about Section 8 companies?

These answers address the structure, documents, funding and incorporation process. They are intended to help you prepare a useful consultation. A specific application needs review of the proposed activities, founders and current requirements; no answer here substitutes for the authority’s approval or a case-specific eligibility assessment.

What is a Section 8 company?

A Section 8 company is a company licensed for specified charitable or similar objects under the Companies Act, 2013. Its income and profits must support its objects, and it cannot pay dividends to members.

Can I register a Section 8 company in Patna, Bihar?

Yes, a proposed company with its registered office in Bihar can apply through the applicable MCA incorporation process. Its objects, documents, name and licence requirements must satisfy the relevant law and scrutiny.

Can a Section 8 company earn a surplus?

Yes. A surplus does not by itself conflict with Section 8 status. Income and profits must be applied to the company’s objects, and dividends cannot be paid to members. The activity must remain consistent with the governing documents and applicable law.

How many founders and directors are needed?

The requirements depend on whether the company is proposed as private or public and on applicable company-law provisions. Confirm the member and director structure, residency requirements and any relevant exemptions before preparing the application.

Is there a fixed minimum capital for every Section 8 company?

Do not assume a single capital figure applies to every proposal. The company’s share-capital or guarantee structure, subscriptions and funding plan must be reviewed. State the agreed contributions accurately rather than treating a package price as company capital.

Can the registered office be in rented premises?

Rented premises may be used if the company has appropriate authority to use the address and supplies the required office evidence. Keep the ownership or tenancy records, owner consent and current utility proof ready; check the applicable attachment requirements.

Are income-tax benefits automatic after incorporation?

No. Company incorporation does not itself grant non-profit tax registration or donor-deduction approval. The applicable Income-tax Act, current forms, activity status and eligibility must be assessed separately.

Can a newly incorporated company receive CSR funding?

Incorporation alone does not establish eligibility to act as a CSR implementing agency. The applicable CSR rules, registration and any track-record or other conditions must be checked. Funding also depends on the donor’s assessment.

Can a Section 8 company accept foreign donations immediately?

Do not assume so. Where a receipt constitutes foreign contribution, the applicable FCRA requirements, including registration or prior permission where required, must be satisfied before acceptance. Company incorporation is not FCRA permission.

How much does Section 8 company registration cost?

Cost depends on professional work, digital signatures, applicable statutory charges and the proposal’s complexity. Ask for an itemised scope separating incorporation from tax approvals, foreign-contribution advice and annual compliance.

How long does incorporation take?

Timing depends on document readiness, name review, professional certification, portal availability and authority scrutiny or resubmission. A preparation estimate is different from an approval date; no fixed completion period is promised on this page.

Section 8 company kaise register karein?

THE QUICK EXPLAINER

How can you prepare in three steps?

Define the mission, organise the founders and records, and plan compliance beyond incorporation. These three steps provide the foundation for a productive initial discussion. The explainer below summarises the approach and distinguishes the company application from tax, CSR and foreign-contribution requirements that may arise later.

Read the 60–90 second explainer

Planning an education, research or social welfare organisation? A Section 8 company may provide a company structure for your mission. Start with three steps. First, define the objects clearly: who will benefit, what activities you will conduct and how income will support the mission. A Section 8 company cannot distribute dividends to its members. Second, organise the founders and documents. Keep identity and address records, proposed names, office permission and a realistic funding plan ready. Third, plan beyond incorporation. Company records, accounts and annual filings need attention. Tax approval, CSR eligibility and foreign-contribution permissions are separate assessments, not automatic benefits of registration. Bihar Tax Consultant assists with reviewing your proposal, preparing documents and coordinating applicable MCA filings within the agreed scope.

Illustrative business example •

From Bihar’s makhana to overseas buyers: the structure matters

A private limited company can provide a formal business structure for a commercial makhana venture. Export readiness still requires product, contract, regulatory and payment preparation.

This is a hypothetical educational scenario, not a client case, testimonial or verified business result. The venture name below is fictional. The example explains why founders should separate a commercial export business from a Section 8 organisation formed for eligible non-profit purposes.

The starting point: a local processing business

Imagine a group of Bihar entrepreneurs buying makhana from local suppliers, grading it and selling roasted packs to retailers. They keep sales records, but customer contracts, brand decisions and purchasing responsibilities are handled informally. An overseas distributor asks for a product specification, evidence of authority to sign, consistent packaging and a reliable supply plan. The enquiry creates an opportunity, but incorporation alone cannot establish that the business can fulfil the order.

The founders first identify their commercial intention. They want to develop a food brand, invest in production and earn returns for shareholders. They therefore review an ordinary private limited structure, rather than assume that a Section 8 company is the appropriate vehicle. This distinction is about objects and the use of profits. A company formed for eligible non-profit purposes must operate within its objects and restrictions; it should not be presented as a shortcut for distributing export profits to founders.

Stage one: organise ownership and decision making

In this example, the founders incorporate the fictional “Mithila Harvest Foods Private Limited”. They record shareholding, director responsibilities and the company’s intended activities. They plan who may negotiate with buyers, approve purchases and sign contracts. They also consider how the processing premises, brand and equipment will be owned or used. Existing personal assets and contracts do not automatically transfer to a new company merely because it has been incorporated.

The practical value is an identifiable contracting entity with defined authority and records. This can make business discussions easier to organise. However, a foreign buyer may still require product samples, financial information, references or other evidence. Incorporation does not compel any buyer to place an order, remove food safety duties or guarantee access to finance. The founders should assess the proposed business on its own merits and preserve accurate records throughout.

Stage two: check the export requirements

The company reviews the applicable Importer Exporter Code requirements through DGFT and checks its banking arrangements. It identifies whether APEDA registration or another export requirement applies to the product and transaction, taking account of current exemptions. It separately reviews food licensing, processing and packing requirements with the relevant authority. A professional should check the proposed activity, premises and product; a generic incorporation checklist cannot decide all food or export permissions.

The buyer’s country may impose different labelling, testing, food safety and import requirements. Those requirements need transaction-specific review. The founders therefore ask the distributor for the destination-market specifications before approving labels or mass production. A label suitable for a domestic retailer may require changes for another market. Product claims should be supported, and no organic, health or geographical-origin certification should be assumed without the required basis.

Stage three: turn the enquiry into a workable contract

The sample contract identifies the product, grade, quantity, packaging, agreed delivery terms and payment arrangement. It addresses quality acceptance, documents, risk allocation and the process for handling a dispute. The company checks the buyer’s identity and reviews the implications of supplying on credit. Shipment planning is coordinated with the appropriate logistics and customs professionals. The legal document should reflect what the processing team can actually produce and deliver.

Before accepting the order, the company compares production capacity with the promised quantity and schedule. It organises supplier records, batch information and evidence of testing where required. If packaging or specifications are disputed, those records can help establish what was agreed and supplied. The founders avoid announcing an overseas “success” merely because a sample has been sent or an enquiry received. The commercial result remains uncertain until the actual transaction is completed.

Stage four: prepare the first shipment and accounts

Once the necessary checks are complete and the parties agree to proceed, the hypothetical company prepares the applicable invoice, packing details and shipment documentation. The exact paperwork depends on the product, destination and delivery terms. The company coordinates with its bank on the applicable receipt and reporting requirements. Tax treatment and customs classification are checked separately rather than inferred from the words “private limited” in its name.

After the shipment, the company retains contractual, shipping and payment records and reconciles them with its accounts. It reviews complaints or specification changes before accepting another order. Annual company compliance continues alongside the export activity. In the scenario, incorporating the business helped organise the legal relationship; the route to international trade required much more than a certificate. No export volume, revenue increase or actual buyer outcome is claimed here.

Could a Section 8 organisation support makhana producers?

A separate, appropriately structured Section 8 organisation might pursue eligible objects through research, training, food-sector awareness or producer education, subject to its objects and applicable law. It would need to use its income for those objects and observe the dividend restriction. That possibility is different from a trading company established to earn distributable shareholder profits. Transactions between related entities would need proper review, records and safeguards.

For founders, the useful question is: “Are we building a commercial food business, an eligible non-profit initiative, or two genuinely separate activities?” Explain the answer before choosing an entity. If the proposal involves both training producers and selling branded food overseas, identify each activity, its funding, ownership and intended beneficiaries. That clarity helps the legal and tax review address the actual project rather than fit every idea into one registration form.
