Director Resignation in India: Section 168, DIR-12, DIR-11 & Practical Compliance

Direct answer: A director may resign by giving written notice to the company. Under Section 168 of the Companies Act, 2013, the resignation ordinarily takes effect on the later of (a) the date the company receives the notice or (b) the future date specified in the notice. The company must then complete the prescribed ROC reporting and internal record updates. A resignation changes the director’s future status, but it does not wipe out responsibility for offences that occurred during the person’s tenure.

What does “director resignation” legally mean?

A director’s resignation is the voluntary cessation of that individual’s office as director. It is not the same as removal by shareholders, retirement by rotation, vacation of office, disqualification, death, or a mere change in designation. The distinction matters because the statutory trigger, documents, effective date and ROC filing route can differ.

For a resignation, the key provision is Section 168 of the Companies Act, 2013. The process begins with a notice in writing from the director to the company. The company is then expected to take note of the resignation, intimate the Registrar in the prescribed form and, where applicable, place the fact in the directors’ report. MCA’s DIR-12 instructions also connect the event with the company’s obligation to report a change among directors.

A recurring practical mistake is to treat a board meeting as if it “accepts” or “rejects” the resignation in a way that controls whether the resignation becomes effective. The safer legal analysis is to separate (1) the director’s act of resigning, (2) the statutory effective date, and (3) the company’s subsequent obligation to take note and complete compliance. Board records are important evidence and governance documents, but they should not be drafted in a way that misstates the statutory mechanism.

What are the key statutory rules and filing consequences?

The practical framework can be understood through four connected rules: written notice under Section 168, the effective-date rule, ROC reporting of the change, and continuing exposure for acts or defaults during tenure. These rules should be read with the company’s articles, minimum-board requirements and any category-specific requirements that apply to the company.

Who can resign, and what company-category differences should be checked?

A director can resign from office, but the compliance consequences depend on the company and the director’s role. A private company, public company and One Person Company do not have identical minimum-board requirements. Listed entities, regulated financial businesses, government companies, companies with investor rights, and companies subject to sectoral approvals may have additional governance or disclosure layers outside the basic Section 168 exercise.

Before fixing the cessation date, check whether the outgoing person is also a managing director, whole-time director, authorised bank signatory, designated compliance contact, GST authorised signatory, income-tax portal user, tender signatory, license nominee, intellectual-property signatory, or party to an employment/service agreement. Resigning from the office of “director” does not automatically complete every commercial or portal-level handover.

Also examine the Articles of Association and any shareholders’ agreement. The statutory right to resign should not be confused with contractual consequences such as notice pay, confidentiality, non-solicitation, share-transfer arrangements, investor consent, vesting, indemnity or return of company property. A company-law filing may record cessation while contractual obligations continue separately.

Private company

A private company normally needs at least two directors. If one of only two directors proposes to resign, the company should not treat the event as a routine paperwork exercise without checking how lawful board composition will be maintained. Where a replacement is required, appointment planning should be coordinated carefully so that board and filing records are coherent.

Public company

A public company normally needs at least three directors and may also be subject to independent-director, woman-director, committee or listing requirements depending on its category. A resignation can therefore trigger a second layer of board-composition review beyond DIR-12.

One Person Company

An OPC has a statutory minimum of one director. A proposed resignation of its sole director is therefore operationally sensitive and should be handled with replacement planning, constitutional review and accurate event sequencing.

Managing or whole-time director

Where the resigning person also holds an executive designation, determine exactly what is ending: directorship, executive office, employment, or all of them. Resolutions, contracts, payroll, banking authority and portal access should use the same factual chronology.

What documents should be prepared for a director resignation?

A clean resignation file should allow a later reader—company secretary, auditor, bank, investor, regulator, court or incoming management—to understand exactly when the director resigned, when the company received the notice, what the board recorded, what was filed, and what was handed over. The following checklist is practical rather than a claim that every item is statutorily mandatory in every company.

  • Signed resignation letter addressed to the company, with an unambiguous date and, if intended, a stated future effective date.
  • Proof of delivery or receipt: acknowledged copy, reliable email trail, courier record, board-office receipt, or another contemporaneous record.
  • Board-meeting notice and agenda, or other valid board process appropriate to the company, for taking note of the resignation and consequential actions.
  • Board resolution/minutes recording the notice, effective date, authorisation for ROC filing and operational handover.
  • DIR-12 filing data and supporting material required by the current MCA webform workflow.
  • DIR-11 filing material if the outgoing director is using the director-side intimation route described by MCA.
  • Updated register of directors and key managerial personnel and other internal registers/records affected by the change.
  • Handover memorandum listing statutory records, DSC, tokens, passwords under controlled transfer procedures, banking instruments, company property and pending matters.
  • Bank mandate and authorised-signatory change documents where the outgoing director had banking authority.
  • Portal-authorisation review for GST, income tax, MCA, DGFT, ICEGATE, EPFO/ESIC, tenders, licensing portals and industry-specific systems as applicable.
  • Copies of pending notices, litigation papers, tax proceedings, compliance calendars and contracts for which the director had supervisory responsibility.
  • Updated website, letterhead, invoices, proposals or public disclosures where the former director is identified in an official capacity.

A well-kept evidence set is particularly useful when the company delays filing or when the outgoing director later needs to show the date on which control, access or authority was handed over.

How should a company process the resignation in practice?

The following workflow keeps the legal event, ROC filing and operational handover aligned. It is intentionally limited to eight main stages so that directors and small businesses can use it as a working checklist.

  1. Receive and verify the written notice. Confirm the company name, resigning director’s identity, date of notice, date actually received by the company, and any future effective date stated in the letter. Preserve evidence of receipt.
  2. Calculate the legally relevant effective date. Do not automatically copy the letter date. Under the Section 168 rule described in MCA’s guidance, use the later of the date of receipt and the date specified by the director.
  3. Review board composition and connected roles. Check the minimum number of directors, resident-director requirement, committee positions, managing/whole-time status, nominee rights, key signatory roles and regulated-company requirements.
  4. Place the event before the Board or follow the valid governance route. Draft the agenda and resolution so the Board “takes note” of the resignation and authorises consequential filings and handover. Avoid wording that incorrectly makes statutory effectiveness depend only on discretionary acceptance.
  5. File the ROC change accurately. Prepare DIR-12 using the correct event date and current MCA portal requirements. The form and internal records should tell the same story. Where appropriate, the outgoing director may separately consider DIR-11.
  6. Update registers and corporate records. Update the register of directors/KMP, minutes, authorised signatory matrix, internal organisation chart and compliance responsibility matrix.
  7. Complete operational handover. Remove or replace banking and portal authority, transfer records, secure company devices, revoke system access where appropriate, and document pending legal/tax/commercial matters.
  8. Preserve the evidence pack. Keep the resignation letter, proof of receipt, minutes, SRN/acknowledgment, handover record and later correspondence together. This can become critical if a future notice concerns a period near the cessation date.

What is the difference between DIR-12 and DIR-11?

DIR-12 is fundamentally the company-side reporting form for appointment, resignation and other changes among directors and key managerial personnel. MCA’s instruction material states that the company files the change with the Registrar within the prescribed period, generally thirty days from the change for ordinary companies.

DIR-11 is the director-side notice route. MCA’s current instruction kit states that where a director resigns, the director may, within thirty days from the date of resignation, forward to the Registrar a copy of the resignation with reasons. The practical value of this route is obvious where the outgoing director wants the Registrar to receive direct evidence even if the company’s own filing is delayed.

The two forms should not contain conflicting cessation dates. MCA’s DIR-11 instructions expressly flag that the effective date should correspond with the cessation date entered in DIR-12 where DIR-12 has already been filed. Before submission, compare the resignation letter, proof of receipt, board record and form data field by field.

Important drafting point

If the resignation letter is dated 1 April, delivered to the company on 4 April and states “effective 10 April,” the relevant effective date is 10 April because that is later than receipt. If the same letter states “effective immediately” but the company receives it on 4 April, the receipt date becomes central. Always apply the statutory rule to the actual facts rather than using the signature date mechanically.

Does the company need to “accept” the resignation?

For ordinary Section 168 analysis, the more precise expression is that the Board takes note of the resignation and completes consequential compliance. MCA’s own company-law material explains that a director’s resignation does not require formal acceptance by the company for the statutory resignation to become effective; the effectiveness turns on the notice and the statutory timing rule.

This does not mean the Board can ignore the event. The company still has governance and filing duties. The minutes should identify the notice, receipt date, effective date and authorised person for ROC filing. Where the director also has an employment or service contract, the company may separately record contractual matters without confusing them with the cessation of directorship.

For disputed exits, documentary precision matters more than formulaic language. A board minute that says “accepted subject to future conditions” can create needless ambiguity if the law treats the resignation as already effective. The better record is usually factual: the Board notes receipt, notes the effective date under Section 168, records the resulting composition, and authorises the required actions.

What liability can continue after resignation?

Resignation is not a retrospective eraser. Section 168 expressly preserves liability for offences that occurred during the director’s tenure. In practice, a former director may still receive notices relating to tax periods, corporate filings, statutory defaults, financial statements, borrowings, employment issues, regulatory filings or transactions from the period when that person held office.

That does not mean every former director is automatically liable for every later allegation. Liability depends on the governing statute, the relevant period, the person’s role, the nature of the alleged default, evidence of participation or responsibility, and any statutory deeming provisions. The important compliance lesson is to preserve evidence rather than assuming the MCA master data alone will answer every future question.

A careful handover memo can record matters pending on the cessation date: open tax notices, litigation, board decisions awaiting implementation, unfiled returns, bank facilities, statutory payments, employee disputes and regulatory correspondence. This is useful both to the company and to the outgoing director because it creates a contemporaneous boundary between pre- and post-exit responsibility.

Records worth preserving

  • Board minutes and agenda papers from the relevant tenure.
  • Evidence of dissent, non-participation or approvals where legally relevant.
  • Compliance calendars and filing acknowledgments.
  • Handover emails and inventory of company property returned.
  • Evidence that bank, DSC and portal access was surrendered or disabled.
  • Copies of significant notices or proceedings pending on the resignation date.

What common mistakes create problems in director resignation filings?

Using the wrong effective date. The letter’s signature date, email date, board date and effective date can be different. Apply the Section 168 timing rule and then use that event date consistently.

Treating resignation as removal. Removal under Section 169 has a different legal route. Do not draft shareholder-removal mechanics into a voluntary resignation merely because there is disagreement between promoters.

Ignoring minimum board strength. A private company with two directors cannot casually lose one without considering the statutory minimum and continuity of management.

Leaving banking and portal access unchanged. ROC cessation alone does not automatically revoke authority on every external system. Audit the company’s bank accounts, GST, income-tax, DGFT, EPFO, ESIC, tender, payment-gateway and cloud systems.

Failing to preserve proof of delivery. When the effective date depends on receipt, contemporaneous evidence of delivery can become decisive.

Assuming past liability disappears. The statute expressly preserves liability for offences during tenure. Former directors should keep relevant records and seek matter-specific advice where notices concern their tenure.

Using boilerplate minutes that say the resignation is “accepted from” a convenient date. Minutes should reflect the actual notice and legal effective date, not rewrite the chronology.

Forgetting connected executive status. If the person is also managing director, whole-time director, employee, nominee, bank signatory or contract signatory, document which relationships end and which continue.

Fictional Bihar makhana company example: how should a director exit be handled?

Fictional educational scenario — not a real client case. Assume “Mithila Makhana Foods Private Limited” is formed in Bihar by three promoters to process and sell packaged makhana. One promoter-director, A, handles vendor onboarding and domestic banking. Director B manages production, while Director C handles sales and export-readiness work.

After one year, A decides to leave the management team. A sends a signed resignation notice to the registered office and by email. The company records the date of actual receipt and checks the future effective date stated in the notice. Because two directors will remain, the private company’s basic statutory minimum is not breached, but the company still reviews whether A is a bank signatory, GST authorised signatory, DGFT portal user or party to any supply contracts.

The Board then records that it has taken note of A’s resignation with the legally determined effective date. It authorises DIR-12 filing and updates the internal register. Separately, A signs a handover list covering bank token, DSC custody, vendor contracts, pending GST correspondence, inventory approvals and any company laptop or records. The bank mandate and portal authorities are changed.

The company is also preparing for international trade. That export-readiness exercise remains separate from the resignation. Depending on the actual product and route, the company may need to examine IEC requirements, food-business licensing, APEDA-related requirements, packaging/label rules, banking documentation, contracts with foreign buyers, destination-country requirements, customs classification and logistics documentation. Incorporation or a director change does not by itself create export eligibility or guarantee an order.

The governance lesson is that director cessation and business continuity should be planned together. If A had been the only person controlling a key portal or bank account, filing DIR-12 without operational handover could leave the company legally updated but practically blocked. Conversely, leaving A’s authority active after cessation could create unnecessary security and accountability risk.

Effective date कैसे निकालें?

मान लीजिए director ने 1 जून को letter sign किया, कंपनी को letter 4 जून को मिला, और letter में लिखा है कि resignation 10 जून से effective होगा। ऐसे उदाहरण में 10 जून बाद की तारीख है, इसलिए वही relevant effective date होगी। अगर letter में “with immediate effect” लिखा है लेकिन कंपनी को notice 4 जून को मिला, तो actual receipt date बहुत महत्वपूर्ण हो जाती है।

DIR-12 क्या है?

Private company में सामान्यतः कम से कम दो directors होने चाहिए। यदि company में केवल दो directors हैं और उनमें से एक resign कर रहा है, तो replacement और lawful board composition पर पहले से विचार करना चाहिए। केवल DIR-12 upload कर देना पर्याप्त planning नहीं है। Banking, GST, income-tax, MCA, DGFT और दूसरे portals पर authorised signatory भी check करें।

इस्तीफे के समय कौन-कौन से documents रखें?

  • Signed resignation letter और उसकी acknowledged copy.
  • Email, courier या office receipt से proof कि company को notice कब मिला.
  • Board notice, agenda, resolution और minutes.
  • DIR-12 filing acknowledgment/SRN.
  • DIR-11 acknowledgment, यदि director ने file किया हो.
  • Register of Directors/KMP का updated record.

Bank account और digital access क्यों महत्वपूर्ण है?

ROC record में resignation दिखने से bank mandate अपने-आप नहीं बदलता। इसी तरह GST portal, income-tax portal, DGFT, tender portal या internal cloud software में access भी स्वतः बंद नहीं होता। इसलिए cessation के साथ operational authority review करना जरूरी है। इससे former director और company दोनों के लिए future confusion कम होता है।

Resignation और removal में फर्क

Resignation director की voluntary action है। Removal एक अलग statutory process है जिसमें shareholders और Section 169 का framework relevant हो सकता है। यदि promoters के बीच dispute है, तो documents में voluntary resignation और forced removal को mix नहीं करना चाहिए। जो घटना वास्तव में हुई है, उसी के अनुसार route चुनना चाहिए।

यदि company DIR-12 file न करे तो?

ऐसी स्थिति में outgoing director को अपने documentary evidence पर विशेष ध्यान देना चाहिए। Signed notice, proof of delivery और DIR-11 filing का महत्व बढ़ सकता है। Exact legal strategy facts पर निर्भर करेगी—जैसे company का status, MCA master data, pending proceedings, notices और resignation की chronology। केवल oral statement पर भरोसा करना सुरक्षित नहीं है।

क्या director को reason लिखना चाहिए?

Resignation letter में reason कितना detailed होना चाहिए, यह facts पर निर्भर करता है। Routine voluntary exit में concise reason पर्याप्त हो सकता है। लेकिन governance dispute, non-compliance concern या contested handover में drafting सावधानी से करनी चाहिए ताकि unnecessary allegations या admissions न बनें। DIR-11 में reasons की requirement को भी current MCA form instructions के अनुसार देखा जाना चाहिए।

What should the resignation letter and board resolution say?

The documents should be factual, internally consistent and restrained. A resignation letter should identify the company, state that the director resigns from office, specify the intended effective date if one is intended, give an address/email for correspondence, and be signed. It should not contain unnecessary legal conclusions unless they are genuinely required.

The board record should state when the resignation notice was received, the effective date determined under the governing rule, that the Board takes note of cessation, and who is authorised to make the ROC filing and update records. It can also assign responsibility for bank, portal, contract and physical-record handover.

“The Board noted the resignation notice received from Mr./Ms. [Name] on [receipt date]. In accordance with Section 168 and the terms of the notice, the cessation is recorded with effect from [effective date].
