Registered Office Change in India: INC-22, INC-23, INC-28 & Complete Procedure

Direct answer: A company can change its registered office, but the approvals and forms depend on where it is moving. A shift within the same city generally involves Board action and INC-22. Moving outside the city’s local limits calls for member approval by special resolution; a shift between ROC jurisdictions within a state needs Regional Director confirmation through INC-23; an interstate shift also involves alteration of the Memorandum. The final filing route must match the company’s actual circumstances.

General information, not individual legal advice. No booking is created by reading this page.

What is a registered office, and why does a change matter?

The registered office is the company’s statutory address for official communication, notices, records and jurisdictional purposes under the Companies Act, 2013. It may be different from a factory, warehouse, trading premises, branch, coworking desk or founder’s residence. A business does not need to shift all its operations merely because it changes its registered office, but the designated address must satisfy the statutory requirement to receive and acknowledge communications.

Section 12 requires companies to maintain a registered office capable of receiving and acknowledging notices. The company must display prescribed particulars at relevant premises and publish its statutory name and registered-office information on specified business communications and other items as applicable. This makes the address more than a marketing contact; it is where regulators, creditors and litigants may direct formal communications.

A change may follow an expired lease, relocation to larger premises, consolidation of group administration, relocation from a founder’s home, commercial reorganisation, or a move to another state. The decision should be made with reference to actual occupancy rights, availability to receive communications, the Articles and memorandum, pending litigation and other registrations.

Changing the registered office does not itself change the company’s identity, CIN, ownership, directors or business objects. Yet an interstate shift affects the state clause of the Memorandum, and a change of Registrar can involve a transfer of statutory jurisdiction. The legal route must therefore be selected before documents are signed or fees paid. A business should record which office remains open during the transition, who is authorised to receive registered post, and where statutory books can be inspected. It should also communicate address changes to major contracting parties so that time-sensitive correspondence and payment demands are not lost between the previous premises and the new office.

Which registered-office change route applies?

The primary distinction is geographical and jurisdictional, not the distance in kilometres. An address a short distance away can still fall outside municipal or local limits, whereas a longer shift might remain inside the same city. The starting check is the current and proposed address, the relevant city or town boundaries, the present ROC and whether the new address falls under the same ROC.

For a move inside the same local limits, Section 12(4) and the prescribed notice-and-verification requirements govern the updated address. When the move crosses local limits, Section 12(5) calls for a special resolution. An intra-state transfer between two ROC jurisdictions adds the Regional Director approval process, while interstate relocation invokes Section 13 as well as Section 12.

The table below gives a route map. It should be read with the current Incorporation Rules and webform instruction kits. A special class of company, a company subject to proceedings or a company with creditors or employees affected by the shift may require additional attention.

Proposed movePrincipal approvalTypical MCA forms

Outside local limits, same ROC and same stateBoard and members’ special resolutionMGT-14 where applicable; INC-22

One state or Union territory to anotherBoard, special resolution, memorandum alteration and Central Government/Regional Director processMGT-14, INC-23, INC-28 and INC-22 as applicable

These are route summaries, not an exhaustive filing map. The current MCA webform and the company’s exemptions, litigation, creditor position and applicable law must be checked before filing.

How does a company change its registered office within the same city?

Where the company is merely moving within the same city, town or village and remains in the same ROC jurisdiction, the route is generally simpler. The Board should consider the proposed premises, review the right to use them, approve the shift through the applicable governance process and authorise a suitable officer or professional to complete the statutory notice.

Form INC-22 is the principal notice and verification webform under Section 12(4) and Rule 27. The company should assemble acceptable address proof, ownership or occupancy evidence, the owner’s no-objection document where required and a recent utility bill as specified by the current form instructions. The address must match across the proposed filing and supporting documents.

Section 12(4) requires notice of each change of the registered office to the Registrar within fifteen days. Treat the actual date of the change as a factual event supported by records, not simply as a convenient date selected in the form. The company should retain its SRN, acknowledgment and current master-data record after filing.

A within-city move should still trigger practical updates: invoices, correspondence, website footer, contracts where notice details matter, the GST principal place or additional place if actually affected, bank KYC, municipal records and other registrations. None of those external systems is automatically updated merely because INC-22 is processed.

What if the new office is outside the local limits but under the same ROC?

Under Section 12(5), moving the registered office outside the local limits of the existing city, town or village ordinarily requires a special resolution of members. A Board resolution alone should not be represented as sufficient simply because the new location falls in the same district or in the same state.

The Board should first approve the proposal and convene the appropriate general-meeting process, unless another legally valid route applies. The notice and explanatory statement should identify the existing and proposed address and the business rationale. After the members pass a special resolution, the company should evaluate MGT-14 requirements and the corresponding statutory filing period, including applicable private-company exemptions.

Once the corporate approvals are in place, the company completes INC-22 with the verification documents and accurate change date. The legal professional should distinguish approval and filing dates rather than creating an impossible chronology. A company that has already shifted should not backdate a meeting or invent occupation proof to make the record look timely.

An address in a neighbouring town may remain within the jurisdiction of the same ROC, but the change in local limits still alters the internal approval requirement. The MCA form should reflect the actual geographical category. Existing contracts, employees and licences may need a separate assessment.

How is a registered office moved between ROC jurisdictions within the same state?

A move between two Registrars of Companies within the same state is not an ordinary INC-22-only exercise. The proviso to Section 12(5) requires confirmation by the Regional Director on an application made in the prescribed manner. Rule 28 governs this category and the relevant application is INC-23.

Rule 28 identifies a Board resolution, special resolution, and declarations concerning workmen’s dues, creditors, pending prosecutions and the interests of employees, together with the required state-government intimation. The declaration must accurately reflect the company’s position; if creditors have not consented or necessary payment arrangements are not made, the drafting cannot hide that issue.

After the Regional Director’s confirmation, the prescribed order filing through INC-28 and the required address-change filings should be completed as applicable. Rule 28 contains its own order-filing period, which must be reconciled with the Act and the current webform instructions. The certificate and updated MCA record should be kept as part of the transaction file.

Companies should not assume that every interstate-style public notice requirement automatically applies to a shift between ROCs in the same state. Rule 28 and Rule 30 deal with different situations, and a valid checklist should reflect the applicable category rather than copy one universal template.

How does interstate registered-office shifting work?

Moving the registered office from Bihar to another state, or from another state into Bihar, affects the state clause of the company’s Memorandum of Association. Section 13(4), Section 12 and Rule 30 therefore have to be read together. The route normally involves a Board proposal, members’ special resolution, prescribed filings and approval through the competent Central Government or Regional Director process.

The application through INC-23 requires supporting documents and a creditor-and-debenture-holder list in accordance with the applicable rules. Rule 30 also addresses the meeting record, proposed memorandum alteration, declarations, service on prescribed recipients and newspaper or other notices as required by the current law. The exact sequence should be built from the current version of the Rule, not an outdated blog checklist.

Pending prosecutions, workmen’s interests, secured and unsecured creditors, objections, outstanding defaults and government or regulated-sector requirements can affect the route. The company must not describe an interstate shift as an administrative address correction if the governing documents and statutory jurisdiction are also changing.

Following approval, the company files the relevant order through INC-28, obtains the necessary registration or certificate and completes the address-verification and related MCA filings as directed by the current process. The effective legal change must be determined from the applicable statutory provisions and approved order, not merely the physical date on which employees moved.

An interstate move can also require separate tax and operational work: GST state registration or amendments depending on the actual place of business, professional-tax or labour requirements, bank KYC, licence changes, tax-portal details and jurisdictional issues. The registered-office approval is not itself a new GST registration or a transferable export licence.

Which documents are needed for INC-22, INC-23 and related filings?

The documents should prove the company’s identity, its lawful use of the new premises and the validity of the approvals. Start with CIN and current master data, the current Memorandum and Articles, a complete existing-address record, proposed new-address details and the actual planned or completed shift date.

For the premises, collect the ownership deed or other current occupancy instrument, lease or rent agreement if applicable, owner’s no-objection letter where required, and a recent utility bill or other acceptable address evidence matching the address. Review the current MCA kit for acceptable document age and categories; a generic list from another company’s incorporation file may not suffice.

For a move outside local limits, keep the Board and members’ approvals, signed general-meeting notice, explanatory statement, voting and minutes records and the relevant MGT-14 acknowledgment where filing is required. For jurisdiction changes, add the INC-23 application and the applicable declarations, creditor list, employee details, proof of notices, authority documents and order documents.

For an interstate move, the proposed amended memorandum and original company records are especially important. If a particular creditor or regulator must receive a notice, preserve evidence of service and the precise version of the application sent. Contradictory creditor amounts or unsupported zero-liability declarations can create substantive legal problems.

  • Current and proposed registered-office addresses, CIN and company particulars.
  • Board resolution and, where required, special resolution and explanatory statement.
  • Ownership or lease documents, owner NOC where applicable and valid utility evidence.
  • INC-22 attachments and MCA acknowledgments.
  • INC-23 supporting declarations and creditors’ documents if RD approval is required.
  • INC-28 order documents, amended MOA and related records where applicable.
  • Bank, tax, labour, licensing and vendor address-update checklist.

What is the practical eight-step procedure?

A legally coherent address change starts with category selection and ends only when both the corporate records and the operational contact points are updated. The steps below provide a working framework. Each company should adapt them to the current MCA instruction kit, its Articles and the actual geography of the move.

  1. Classify the move: compare local limits, existing and new ROC jurisdiction, and the current versus proposed state or Union territory.
  2. Check premises: inspect legal occupancy, written owner consent if relevant, utility evidence and the ability to receive statutory communications.
  3. Approve the proposal: obtain the Board approval and members’ special resolution where the chosen route requires one; prepare accurate notices and minutes.
  4. Make resolution filings: file MGT-14 when required by the actual resolution, company category and applicable exemptions.
  5. Seek RD confirmation if required: submit INC-23 with the correct route-specific annexures, notices, declarations and creditor material.
  6. Record the approval: file the relevant order through INC-28 and obtain the required certificate or registration where the route calls for it.
  7. Complete address verification: submit INC-22 with an accurate effective date and supporting premises documents within the prescribed period for the applicable event.
  8. Finish consequential updates: verify MCA master data, change official communication materials, and separately review GST, income tax, banks, licences and statutory registers.

What filing deadlines and fees should be considered?

Section 12(4) provides a fifteen-day period for notifying the Registrar of a change in the registered-office situation. It is important not to confuse that basic notice rule with the additional approval and registration sequence required for changes in ROC jurisdiction or state. The event date and statutory trigger should be recorded carefully for each form.

For a special resolution, check the applicable Section 117 filing requirement and exemptions, rather than asserting that every private company must file the same MGT-14 in every situation. For a change between ROCs within one state, Rule 28 contains a specific requirement relating to filing the certified Regional Director order through INC-28. Interstate shifts involve the separate Section 13 and Rule 30 sequence.

MCA filing charges can depend on the company’s authorised capital, applicable fee table, selected webform, delay, additional fees and the stage of the transaction. Professional fees and publication expenses are separate from government filing charges. No flat price or guaranteed completion period is represented here because approval-dependent cases vary materially.

If a deadline has already passed, the company should disclose the actual event chronology, determine additional filing implications and seek appropriate advice. It should not substitute a fictional later shift date, a recreated tenancy document or a backdated Board resolution.

What changes for OPCs, Section 8 companies, and regulated businesses?

An OPC remains a company for registered-office purposes, but its single-member decision-making record and director composition need to be handled in the manner prescribed for an OPC. The relevant Section 12 and Section 13 rules still matter, and the company should not blindly copy a multiple-shareholder AGM template.

A Section 8 company or an entity governed by sector-specific licences, approvals or funding conditions may face additional checks. Review the actual governing documents and current law before describing ordinary private-company mechanics as complete for the entity. An address change may affect where the company must maintain or make available its books and other records.

For a company in default, subject to prosecution, under an insolvency process or facing substantial employee or creditor claims, a route involving Regional Director approval requires especially careful assessment. A proposed registered-office change must not be described as cancelling an existing claim or shifting the jurisdiction of an ongoing prosecution at the company’s discretion.

Does INC-22 automatically update GST, PAN, banks or business licences?

No. MCA records and the databases of other government departments and commercial counterparties are separate systems. After the ROC change is correctly recorded, identify each other registration or contract that contains the former address and determine its own amendment route and supporting evidence.

Under GST, distinguish a registered-office address change that does not affect the actual GST principal place of business from a real business-premises shift. A move to another state can have a different registration consequence from an address correction within the same state. The correct GST action should be decided on the business’s actual operations and the relevant GST framework.

Bank accounts may require revised KYC and company resolutions. Invoices, website contact pages, purchase orders and letterheads should not continue to show misleading statutory information. Where registered premises are associated with FSSAI, DGFT, factory licensing, shops and establishments, labour or environmental approvals, check the relevant authority’s procedures rather than assuming that the ROC’s acknowledgment is sufficient.

Which errors most often delay a registered-office change?

An incorrect route is the most serious planning mistake. A company may mistakenly use only INC-22 for a move outside local limits, omit Regional Director approval when changing ROC jurisdiction, or treat an interstate shift as a change of mailing address rather than an alteration of the memorandum.

Premises proof is another common issue. The occupancy document, owner NOC, utility evidence and entered postal address must correspond. Inconsistent building names, floor details, pin codes or possession dates can invite resubmission or later questions. A virtual address without a reliable arrangement to receive official notices can create continuing compliance risk.

Wrong chronology can invalidate an otherwise straightforward file: a resolution passed after an asserted completed shift, an INC-23 application built on an unpassed special resolution, or an INC-28 filing that does not reflect the relevant order. Avoid templates that hide the difference between a proposal, approval and legally effective change.

Ignoring creditors, employees, pending litigation or regulatory licences in an RD-dependent transaction can create problems beyond portal resubmission. The company should verify underlying liabilities and service evidence. It should also avoid promising that publication, approval or registration will happen by a guaranteed date.

Fictional Bihar makhana business: changing the registered office before exports

Fictional educational illustration, not an actual client or completed export: two entrepreneurs incorporate Mithila Makhana Processing Private Limited in Patna to source, roast and pack makhana for domestic sales. The company initially uses a legally documented Patna office as its registered office, while production occurs at a separately identified manufacturing site in north Bihar. Incorporation records show its initial shareholding, directors and state clause.

As the business expands, the founders consider moving the registered office to larger premises in Patna. They first confirm whether the new address is inside the same local limits and ROC jurisdiction, obtain an appropriate lease and owner consent, record the valid Board decision and submit the prescribed INC-22 with supporting premises evidence. They independently update business correspondence and relevant tax and banking records.

The founders later discuss shifting the registered office to another state because an administrative team will be located there. That is a different legal exercise: they must consider member approval, alteration of the Memorandum, INC-23 and the applicable order-filing and address-verification steps. They must also review the implications for the production site, existing GST registration and any manufacturing or labour licences; relocation of the registered office does not automatically relocate the factory.

Preparing to trade internationally is another separate workstream. Depending on product, destination and transaction, the business may need to examine IEC, FSSAI requirements, APEDA-related requirements, packaging and labelling, banking documents, customs classification, buyer contracts and destination-country rules. A company registration certificate or approved office shift does not guarantee an export order or establish compliance with every trade rule.

How can Bihar Tax Consultant assist?

Bihar Tax Consultant accepts enquiries concerning company registered-office changes, Board and member documentation, INC-22 verification, the INC-23 approval route, INC-28 order filing and related ROC record review. The precise scope should be agreed after examining the company category, present and proposed location, premises evidence, pending legal matters and corporate records.

For Patna and Bihar businesses, the starting documents are usually the CIN, latest MCA master data, current Memorandum and Articles, present office details, proposed office documents and the intended shift chronology. Interstate or cross-ROC changes can require additional approvals, creditors’ materials and specialist work.

The office can also help identify connected legal and tax questions, but an ROC filing should not be confused with automatic GST, banking, licence or contractual updates. Enquiries can be coordinated using the office telephone number below.

Registered Office Change:

Yes. A shift within the same local limits and ROC jurisdiction generally follows appropriate Board action and INC-22, supported by valid address evidence.

Is a special resolution required for every registered-office change?

No. Section 12(5) requires a special resolution when a change crosses the relevant city, town or village local limits. Additional approval may apply when ROC jurisdiction or state changes.

When is INC-23 required?

INC-23 is used to seek Regional Director confirmation when shifting between ROC jurisdictions within the same state or shifting from one state or Union territory to another, as applicable.

What is Form INC-28 used for?

INC-28 is used to file an applicable order, including the Regional Director’s order in registered-office shifting procedures where the law and current webform require it.

Does an interstate shift require amendment of the MOA?

Yes. Moving the registered office to another state or Union territory affects the state clause and requires the applicable Section 13 alteration and approval process.

How soon must the company notify ROC of a change?

Section 12(4) prescribes notice to the Registrar within fifteen days of a change. Additional approvals and event-specific timelines apply to more complex shifts.

Can a company use a rented registered office?

A rented office can be used where it satisfies the legal requirements and the company holds acceptable occupancy documents, owner consent where required and address-verification evidence.

Does changing the ROC address update GST automatically?

No. GST, bank KYC, tax records, licences and other systems require separate review and amendments where relevant.

Can an OPC change its registered office?

Yes. An OPC can change its registered office, with the applicable Companies Act route and properly recorded single-member or Board decisions as required.

Can a company shift while it has unpaid creditors?

The applicable route, particularly an RD-dependent shift, requires truthful creditor and liability disclosures, protections and supporting declarations. Outstanding liabilities cannot simply be ignored.

Does changing the registered office change the company CIN?

A change of address does not create a new company. An interstate shift may affect the state component or registered details reflected in corporate records; verify the updated MCA certificate and master data.
