LLP Annual Compliance in India: Form 11, Form 8, Audit & ITR-5

Direct answer: A registered Limited Liability Partnership ordinarily files its annual return in LLP Form 11 within 60 days after its financial year ends and its Statement of Account and Solvency in LLP Form 8 within 30 days after the end of six months from that year-end. For the usual 31 March year-end, the dates are 30 May and 30 October respectively. Income-tax returns, audit, GST, TDS and partner-level requirements follow their own rules. Nil turnover does not, by itself, cancel the LLP’s MCA annual-filing obligations.

Reference review: 2 October 2026. Applicable extensions, individual accounting period, tax status and current portal requirements must be checked before filing.

What is LLP annual compliance and who must complete it?

LLP annual compliance means the recurring statutory reporting, accounting and tax work required of a Limited Liability Partnership under the Limited Liability Partnership Act, 2008, LLP Rules, 2009 and the tax and regulatory laws that apply to its business. The LLP has an identity distinct from its partners. Registration is only the beginning: annual disclosure and sound financial records continue while the LLP remains registered.

Two filings define the usual MCA cycle. Form 11 records the annual-return particulars of the LLP, including its partner and contribution information. Form 8 contains the statement of accounts and solvency, supported by appropriate financial records and certification. They serve different purposes and neither replaces the other. An LLP may also have to file its income-tax return in ITR-5, obtain an LLP statutory audit or income-tax audit where triggered, and meet tax, payroll or industry-specific obligations.

Owners sometimes treat the absence of invoices as proof that there is nothing to report. That is not a reliable conclusion. Capital contribution, bank charges, professional fees, borrowings, incorporation expenditure or even a genuine nil position still require truthful books and the applicable annual forms. Likewise, an LLP with significant sales may have obligations well beyond two ROC-related filings. The right scope follows the facts, not the size of the marketing package purchased.

This guide addresses an Indian-incorporated LLP. A foreign LLP with a place of business in India is governed by a separate reporting route. A private limited company, One Person Company or ordinary partnership firm must not automatically use the LLP’s filing calendar or forms.

Which LLP annual forms are required and when are they due?

The annual calendar should distinguish the LLP’s normal MCA deadlines from its income-tax and activity-based deadlines. Form 11 is generally calculated as 60 days from the financial-year close, whereas Form 8 follows a separate rule: 30 days after completion of six months from the financial-year end. For an ordinary April-to-March year, these lead to 30 May and 30 October. Tax deadlines can be modified by later departmental extensions and by the applicable tax-return category.

FY 2025–26 update: Form 11 was ordinarily due 30 May 2026, and Form 8 is ordinarily due 30 October 2026. The Income Tax Department announced Circular No. 07/2026 on 28 September 2026, extending the relevant 31 October 2026 income-tax return deadline to 21 November 2026 and the corresponding 30 September 2026 audit-report deadline to 21 October 2026. These extensions apply to the categories specified in the circular; they must not be assumed to extend every LLP’s non-audit return or an MCA form.

The legal financial-year rule requires special care for an LLP incorporated after 30 September. The LLP Act permits its first financial year to end on 31 March of the year next following the incorporation year. The founders should document the actual first reporting period before applying ordinary-year deadlines. For example, it would be inaccurate to impose a May filing date for a financial year that the LLP is lawfully treating as continuing.

When the filing is close to its due date, check actual form status, DSC association, partner-change filings and fees early. A prepared draft, generated SRN or attempted payment should not be confused with a successfully completed filing.

What does LLP Form 11 report?

LLP Form 11 is the annual return prescribed under Section 35 of the LLP Act and Rule 25 of the LLP Rules. The return provides the Registrar with the LLP’s relevant annual information, including partner and designated-partner details, contribution and other particulars required by the current webform. An accurate Form 11 begins with the LLP agreement, the records of partner changes and the actual year-end position.

The MCA instruction kit states that Form 11 must be submitted within 60 days after the financial year closes. For a financial year ending 31 March, this normally produces 30 May. The instruction kit also flags that filing can be blocked if an LLP Form 4 concerning partner or designated-partner changes remains pending for payment or is under processing. Resolve such inconsistencies rather than forcing the annual return to repeat outdated MCA master data.

Compare capital contribution promised by each partner with the actual contribution and the statements in prior filings. The LLP agreement may describe partners’ obligations differently from what has already been paid. Do not alter the figures merely to make them appear tidy. Where partner admission, cessation, designation or change in particulars occurred, examine the applicable Form 3 and Form 4 event filings separately.

Certification requirements vary with the LLP’s scale and the instructions applicable to the form. MCA’s current webform instructions and the relevant professional-certification threshold should be checked for the year, including where turnover exceeds ₹5 crore or the obligation of contribution exceeds ₹50 lakh. Do not equate this certification threshold with the separate statutory audit threshold or the definition of a small LLP.

Save the signed and submitted form, the filing acknowledgment, SRN, supporting documents and the final portal status. These records are important for lender due diligence, changes in partners, audits, taxation and any later disagreement about what was reported.

What does LLP Form 8 report?

Form 8 is the prescribed Statement of Account and Solvency under Section 34 of the LLP Act and Rule 24 of the LLP Rules. It presents financial information and the designated partners’ declaration on the LLP’s ability to meet its liabilities. A genuine solvency declaration must be based on properly prepared books, current obligations and an assessment of the actual financial position, rather than an assumed answer copied from the previous year.

The ordinary deadline is 30 days after the completion of six months from the financial-year close. For a 31 March financial-year end, the resulting date is 30 October. The accounts should therefore be reconciled well before late October, particularly if an auditor must examine them or any accounting discrepancy remains unresolved.

Prepare a properly supported statement of assets and liabilities and statement of income and expenditure or the financial particulars required by the current form. Bank balances, inventory, receivables, advances, fixed assets, loans, statutory dues, partner contributions, expenses and other liabilities must be derived from records. Where the form is digitally signed or certified, the signatories should verify the figures they are declaring.

Form 8 can have uses relating to charges as set out in MCA’s instruction kit, but the normal annual Statement of Account and Solvency should not be confused with a separate charge filing. Where the LLP has obtained finance or created a charge, review the transaction, documents and relevant filing route independently.

MCA’s Form 8 instructions contain a graduated additional-fee table and state that the annual Form 8 is processed in straight-through-processing mode. That makes accuracy before submission especially important. A successful online submission is not a substitute for truthful books or compliance with the law.

When does an LLP require a statutory audit?

Under the LLP Rules framework, the commonly applicable statutory audit threshold is crossed when annual turnover exceeds ₹40 lakh or the partners’ obligation of contribution exceeds ₹25 lakh. The tests are alternatives: crossing either threshold can trigger the LLP audit requirement. The amount of contribution must be considered on the proper legal basis; it should not be replaced by an informal estimate of cash in the bank.

If both turnover and contribution are within the exemption limits, the LLP may qualify for exemption from the LLP statutory audit under Rule 24, subject to the applicable provisions and any other relevant condition. Exemption from audit is not exemption from bookkeeping, Form 8 or Form 11. The designated partners remain responsible for accurate records and valid declarations.

For a growing LLP, monitor the tests during the year rather than learning after March that the audit is mandatory. Revenue recorded in GST returns, bank deposits and accounting records should be reconciled to avoid inconsistent turnover statements. Review capital commitments in the LLP agreement and subsequent amendments as well as contributions actually received.

An income-tax audit is a separate question under income-tax law, including Section 44AB for FY 2025–26 where applicable. Tax-audit thresholds, transaction patterns, specified exceptions and other rules must be examined independently. An LLP statutory audit does not automatically prove that a tax audit is required, and an exemption under the LLP Rules does not automatically eliminate income-tax audit requirements.

Before engaging an auditor, clarify whether the engagement covers LLP accounts, applicable tax-audit reports, ITR preparation, GST reconciliation and any prior-year adjustments. Each has a different statutory purpose and may require separate procedures and professional expertise.

What documents should be ready before LLP annual filings?

A reliable annual-filing file combines registration records, corporate governance information and year-specific accounting evidence. The final attachment list depends on the current webform and any audit or certification requirement, but the following working papers should be assembled in advance.

  • LLPIN, incorporation certificate and current registered-office particulars.
  • Latest executed LLP agreement and all supplemental agreements or amendments.
  • Current partner and designated-partner list, DPIN/DIN and verified contact details.
  • Contribution commitments, evidence of actual capital received and profit-sharing arrangements.
  • Prior-year Form 11 and Form 8 filings, SRNs and available acknowledgments.
  • Pending or completed Form 3 and Form 4 filings affecting the year.
  • Bank statements for all accounts, bank-reconciliation statements and cash records.
  • Sales and purchase registers, customer and supplier invoices and credit notes.
  • GST returns and ledgers where registered, and TDS returns/challans where applicable.
  • Receivable and payable lists, inventory/stock statements and supporting valuations.
  • Asset register, depreciation working and documents supporting loans or advances.
  • Payroll, partner remuneration/interest workings and expense vouchers.
  • Statements of accounts and solvency backed by correctly classified liabilities.
  • Audit report and certification records if a statutory or tax audit applies.
  • Valid and correctly associated Digital Signature Certificates and MCA business-user access.
  • Income-tax portal records, AIS/TIS/Form 26AS reconciliation and return data.

If the LLP has no turnover, prepare a truthful nil-activity or low-activity set of books rather than treating “nil revenue” as a reason to omit bank entries, capital, expenses, loans or liabilities. A complete record can save time when the LLP seeks investment, credit, a new partner or a lawful closure.

How is LLP annual compliance completed in eight steps?

A good workflow separates legal-status review, bookkeeping, audit, MCA filing and tax compliance. Combining everything at the last moment increases the risk of missed deadlines and inconsistent information across statutory portals.

  1. Confirm the LLP’s reporting period. Verify the incorporation date, applicable first financial year, LLPIN, registered office, partner details and whether the LLP is active or has a separate formal status that changes its reporting obligations.
  2. Reconcile partner and agreement records. Compare the LLP agreement with admissions, cessations, changes in designation, profit sharing and contributions. Identify Form 3 or Form 4 obligations before relying on MCA master data.
  3. Close and reconcile the accounts. Post bank entries, invoices, purchases, expenses, capital, loans, inventory, depreciation and statutory dues. Prepare bank, GST and TDS reconciliations as relevant.
  4. Determine audit and certification. Test the LLP statutory audit limits and separate income-tax audit rules. Appoint the appropriate professional and resolve material accounting issues before signatures.
  5. Prepare and file Form 11. Confirm partners and contribution as at the relevant date, complete the current MCA webform, apply valid DSCs, pay the correct government fee and retain the final acknowledgment.
  6. Prepare and file Form 8. Finalise the accounts and solvency declaration, obtain required signatures or professional certification and complete the filing by the applicable deadline.
  7. Complete independent tax filings. Prepare ITR-5, applicable audit reports, GST returns, TDS statements and other triggered filings on their own deadlines; use genuine tax credits and reconcile statutory information.
  8. Archive evidence and plan the next year. Check actual portal status, maintain signed accounts and SRNs, close open notices or resubmissions, record changes needed and establish a future compliance calendar.

Where a return is already overdue, determine the exact financial year, correct event date, actual form status and applicable additional fee. Do not assume that a service request number, draft or unsuccessful fee transaction establishes timely compliance.

How are MCA filing fees and late fees calculated?

There is no single universal government fee for every LLP annual filing. Form 11’s normal fee generally follows the LLP’s contribution slab under MCA’s form instruction kit. Form 8 uses its own applicable form-fee and additional-fee instructions. Professional charges, statutory audit fees, taxes and digital-signature renewal are separate from government filing fees.

MCA’s Form 11 instruction kit sets out normal filing fees ranging by contribution and additional fees that increase through delay brackets. It differentiates small LLPs and other LLPs for several slabs; its stated long-delay bracket should also be checked in the current portal. The Form 8 kit separately sets out delayed-filing multipliers and, for delay beyond 360 days, an additional daily component in the version reviewed. These rules should not be collapsed into a misleading “every late LLP form costs exactly ₹100 a day” formula.

The definition of a small LLP under Section 2(1)(ta) is not identical to the statutory audit exemption threshold. Confirm the current prescribed contribution/turnover limits and the entity’s actual qualification before applying the small-LLP additional-fee table. A reduced filing fee does not establish an audit exemption or eliminate statutory offences.

For a reliable estimate, first identify the relevant filing year and form; then verify normal fee, date of statutory deadline, number of delayed days, small-LLP classification, current MCA fee table and any applicable notification or relief scheme. Separately assess statutory penalties, prosecutions or adjudication consequences where relevant. Payment of an additional filing fee does not necessarily settle every underlying contravention.

If the LLP has several overdue years, prepare a year-wise register. Do not simply multiply one year’s guessed fee by the number of years. Contribution, status, applicable rules and length of delay may differ for each return.

Does a newly incorporated or inactive LLP need annual filings?

A newly incorporated LLP should first identify its statutory first financial year. Under the LLP Act, an LLP incorporated after 30 September may choose a first financial year ending 31 March of the year next following its incorporation year. This exception matters because the annual-return and statement-of-account deadlines follow the actual financial-year end, not an arbitrary anniversary of the incorporation date.

A lawfully registered LLP that has not started trading ordinarily remains subject to annual filing for the financial year that has closed. Inactivity does not remove the separate legal entity. The books may show capital receipts, registration expenditure, bank charges and other transactions even if customers have not yet been billed. If there was genuinely no transaction, the statements still need to be accurate and complete.

Distinguish an operationally inactive LLP from one that has undergone a formal change or has been struck off under the prescribed route. An LLP intending to discontinue operations should separately examine closure, debts, tax registrations, bank accounts, agreements and the applicable strike-off form or other lawful dissolution process. Simply stopping filings can create accumulating compliance problems.

A newly incorporated LLP also needs to examine the filing of its initial LLP agreement in Form 3 within the prescribed period and any subsequent changes. Form 3 is not a substitute for Form 11 or Form 8. Similarly, partner changes requiring Form 4 should be handled when they occur rather than hidden in the next annual return.

What other tax and designated-partner requirements can apply?

ITR-5 is the standard income-tax return form ordinarily used by an LLP, subject to the return framework for the relevant assessment year. The partners should prepare taxable-income workings, reconcile TDS and advance tax, consider allowable partner remuneration or interest where applicable, and review losses and brought-forward balances. Filing the MCA forms does not automatically file the LLP’s income-tax return.

For AY 2026–27, use the Income Tax Department’s notices and circulars rather than an evergreen deadline chart. Its 28 September 2026 notification extended the relevant audit-category return and audit-report dates as described in the calendar above. An LLP outside that category may have a different deadline, and future assessment years may follow different legislation, forms or schedules.

GST returns depend on actual registration and the applicable scheme, business supplies, turnover and notifications. An LLP registered under GST may have regular or nil-return obligations even when business is slow. Inward and outward supplies, input-tax credits, e-invoicing applicability, annual returns and reconciliation must be determined separately on the facts.

TDS/TCS obligations can arise when the LLP makes certain payments or collects tax under relevant provisions. These may require deduction, deposit, quarterly statements, certificates and reconciliation. Other activity-specific requirements may include EPFO, ESIC, professional tax, FSSAI, DGFT/IEC, customs or local permissions where triggered.

Designated partners should separately check DIN/DPIN particulars, DSC validity and individual KYC obligations under the latest governing MCA rules. KYC is not itself Form 11 or Form 8. Older annual-KYC checklists may be outdated in light of the 2026 changes and transition; check the current rule and each person’s actual status.

Taxation and corporate compliance can interact without becoming interchangeable. An updated MCA registered-office address may need follow-up in tax, banking and licensing records. A changed partner may have implications for beneficial ownership, authorised signatory roles and GST or bank access. A proper annual review identifies these connected tasks but does not silently treat them as completed.

Fictional Bihar makhana LLP: how does the compliance cycle work?

Fictional educational scenario—not an actual client or claimed result. Imagine that two entrepreneurs in Darbhanga first compare forming a private limited company with incorporating an LLP for a makhana procurement and packaging venture. They ultimately incorporate “Mithila Makhana Foods LLP”, with each partner’s contribution and management responsibilities documented in the LLP agreement. The illustration discusses the LLP’s own compliance requirements; private-company procedures are not applied to it.

The LLP obtains a bank account and begins sourcing makhana from local suppliers. The partners incur packaging-design costs and purchase machinery while preparing a website. Even if most sales begin only near the end of the year, these capital and expense transactions belong in properly maintained accounts. The designated partners must determine the LLP’s actual financial year, reconcile bank entries, verify sales and purchases, and identify statutory dues.

At year-end, the LLP prepares Form 11 based on its partner roster, contribution records and any properly reported changes. Separately, it prepares Form 8 using genuine accounting figures and a properly considered solvency declaration. If turnover exceeds the statutory LLP-audit threshold or the obligation of contribution exceeds the relevant limit, it arranges the necessary statutory audit. The tax-audit position is checked independently.

Suppose one partner later changes the share of profits or a new partner joins. The LLP first assesses the necessary agreement amendment and event filings, including Form 3 or Form 4 where applicable. It should not simply insert the new information in a future Form 11 without checking whether a change filing was due when the event occurred.

The entrepreneurs also plan to sell packaged makhana internationally. Company or LLP registration alone does not authorise all stages of food exporting. Depending on the actual product, transaction and destination, they may need to review FSSAI permissions, food labelling and testing, DGFT IEC, applicable APEDA procedures, GST/export documentation, customs classification, banking arrangements, contractual terms and the destination country’s rules. These are conditional export-readiness checks, not automatic requirements for every makhana business.

The case illustrates a practical separation: LLP annual filings report the entity’s position; income-tax and GST filings address taxation; export and food licences address the commercial activity; and changes in the partners’ legal arrangement require their own documentation. None of these workstreams can be safely substituted for another.

Which mistakes cause LLP annual-filing problems?

Mixing up Form 11 and Form 8. The annual return and the statement of accounts are separate filings, with separate content and deadlines. A single SRN does not demonstrate that both are complete.

Assuming nil business means no filing. An LLP remains registered and may have capital, expenses, statutory accounts and recurring returns even without sales. Assess the first financial year and any genuine statutory exception instead of guessing.

Ignoring partner-event forms. An admission, cessation, designation change or amended LLP agreement may need timely Form 4 or Form 3 filings. Pending Form 4 processing can interfere with Form 11 according to MCA’s instruction kit.

Using the wrong audit threshold. The LLP statutory audit, tax audit, professional certification and small-LLP classifications have different legal tests. Keeping separate worksheets avoids a serious category error.

Copying an old deadline. Income-tax authorities can extend deadlines for specific categories and years. In October 2026, the audit-category extension needs to be read with its exact scope; a later tax due date does not automatically extend Form 8.

Misstating solvency. Form 8 should reflect actual books and liabilities. A routine positive declaration without examining debts, related-party balances and disputed dues can create avoidable risk.

Relying on an expired DSC or incomplete payment. Check DSC registration, signatory identity, MCA business-user access and final submission status before the filing deadline.

Quoting flat daily penalties from old materials. The current MCA instruction-kit tables distinguish forms, delay brackets and entity classification. Determine the correct fee from the applicable instructions and portal.

Leaving the tax return until after the MCA process. The LLP’s tax reporting and MCA forms may require overlapping accounting data, but they do not necessarily share deadlines. Prepare both workstreams from reconciled records.

Forgetting a planned closure. Stopping business activity is not the same as lawfully closing the LLP. Deal with outstanding returns, bank accounts, liabilities and the correct closure procedure before treating the entity as finished.

LLP Annual Compliance:

LLP Annual Compliance

31 March को समाप्त होने वाले सामान्य financial year के लिए due date 30 May होती है।

Form 8

Form 8 Statement of Account and Solvency

पहले LLP का सही first financial year और वास्तविक records जाँचें, फिर prescribed filing करें।

Certificate of incorporation और adopted financial-year period को देखकर due date निकालें।

FY 2025–26 और AY 2026–27 के लिए Income Tax Department ने 28 September 2026 के Circular No. 07/2026 द्वारा संबंधित audit-category ITR की due date 21 November 2026 और संबंधित audit report की due date 21 October 2026 तक बढ़ाई है।

LLP agreement

Late filing fees

How can Bihar Tax Consultant assist with LLP annual compliance?

Bihar Tax Consultant receives enquiries about LLP annual-return preparation, Form 8 documentation, accounting and tax-reconciliation coordination, designated-partner filing readiness and procedural questions concerning the MCA portal. The appropriate scope depends on the LLP’s actual records, statutory audit status and whether prior years or partner-change filings are pending.

For an initial review, share the LLPIN, incorporation date, financial years needing attention, contribution particulars, existing annual-return acknowledgments, LLP agreement, books and relevant statutory registrations. A clear scope should identify what work concerns bookkeeping, MCA forms, tax return preparation, professional certification, audit, government fees or delayed-filing issues. Nothing on this page promises portal acceptance, waiver of statutory fees or a specific legal outcome.

For Patna and Bihar businesses, the objective is to build a consistent record across partners, accounts, MCA filings and relevant tax returns. Accurate, contemporaneous records are valuable for maintaining the LLP and for future financing, growth, changes in partners or eventual lawful closure.

What is the due date for LLP Form 11?

Form 11 is ordinarily due within 60 days of the financial-year end. For a financial year ending on 31 March, the normal due date is 30 May.

What is the due date for LLP Form 8?

Form 8 is ordinarily due within 30 days after the completion of six months from the financial-year end. For a 31 March year-end, this generally means 30 October.

Are Form 11 and Form 8 the same?

No. Form 11 is the annual return about LLP particulars and partners; Form 8 is the statement of accounts and solvency. Both require separate compliance.

Does an LLP with no turnover have to file Form 11 and Form 8?

Ordinarily yes for its applicable financial year while it remains registered, subject to the law and its actual reporting period. Nil sales do not automatically waive annual filings.

When is an LLP statutory audit generally mandatory?

Under the general LLP Rules threshold, audit is triggered if annual turnover exceeds ₹40 lakh or the partners’ obligation of contribution exceeds ₹25 lakh, subject to applicable rules.

Is an LLP statutory audit the same as an income-tax audit?

No. LLP statutory audit is assessed under LLP law; an income-tax audit has separate conditions under the applicable income-tax provisions.

Which income-tax return does an LLP ordinarily file?

An Indian LLP ordinarily uses ITR-5, subject to the applicable assessment-year return rules, statutory category and current due-date notifications.

What changed in the AY 2026–27 audit-category tax deadlines?

The Income Tax Department’s Circular No. 07/2026 extended the specified 31 October 2026 return due date to 21 November 2026 and the corresponding 30 September audit-report date to 21 October 2026.

Can a newly incorporated LLP have an extended first financial year?

Yes. Under the LLP Act, an LLP incorporated after 30 September may have its first financial year end on 31 March of the year next following its incorporation year.

What happens if LLP Form 11 or Form 8 is late?

Applicable additional filing fees follow the current form-specific MCA tables and delay brackets. Separate statutory consequences may also arise depending on the default.

Is a partner change reported only in the next Form 11?

No. Changes may independently require event-based filings, including Form 3 or Form 4 as applicable, within the prescribed period.

Does closing business activity stop LLP annual compliance?

No. Stopping operations is not the same as completing the prescribed lawful closure or strike-off process; review pending filings and liabilities first.

31 March को समाप्त होने वाले सामान्य financial year के लिए due date 30 May होती है।

Form 8

Form 8 Statement of Account and Solvency

पहले LLP का सही first financial year और वास्तविक records जाँचें, फिर prescribed filing करें।

Certificate of incorporation और adopted financial-year period को देखकर due date निकालें।

FY 2025–26 और AY 2026–27 के लिए Income Tax Department ने 28 September 2026 के Circular No. 07/2026 द्वारा संबंधित audit-category ITR की due date 21 November 2026 और संबंधित audit report की due date 21 October 2026 तक बढ़ाई है।

LLP agreement

Late filing fees
