OPC Annual Compliance in India: AOC-4, MGT-7A, Audit, Tax & ROC Filing

Direct answer: A One Person Company has simplified governance, but it is still a company with annual accounting, financial-statement, annual-return and applicable tax obligations. An OPC generally files its financial statements in AOC-4 within 180 days of financial-year closure and its annual return in MGT-7A by the applicable statutory deadline. OPCs do not hold an AGM under Section 96. Their audit, member-record and director obligations must be planned independently of AGM-based private-company checklists.

General guidance reviewed 1 October 2026; check current MCA forms and company-specific facts before submission.

What is OPC annual compliance and why does it matter?

Annual compliance is the recurring process by which an OPC maintains lawful accounts, records, statutory filings and applicable tax registrations. Sole ownership reduces certain meeting formalities; it does not exempt the company from maintaining books, an auditor where required, ROC filings or legal obligations arising from its activities.

An OPC is a separate legal person under the Companies Act, 2013. The sole shareholder may also be its sole director, but money and property belonging to the company must be distinguished from the owner’s personal finances. Correct bookkeeping helps establish that distinction. Even if the company has no sales, a bank account, share capital, expenses, loans, deposits, fixed assets or outstanding dues may require accounting entries and disclosures.

The annual compliance workflow normally involves preparing accounts for the applicable financial year, getting the statutory financial statements audited, securing the required single-member and director records, filing AOC-4 and MGT-7A, and completing the company’s income-tax and other conditional returns. A director’s personal DIN/KYC obligations and the company’s event-based filings are separate items in the compliance calendar.

The calendar is not automatically the same as for a conventional private limited company. An OPC is exempt from the AGM requirement by Section 96. Section 137 provides a distinct 180-day financial-statement filing framework for OPCs, and Section 122 creates simplified machinery for recording member decisions. Using the ordinary rule of 30 days after an AGM as the only AOC-4 trigger can therefore misstate the OPC deadline.

A filing acknowledgement proves that a form was submitted and processed to the extent shown by the portal; it does not independently prove the truth of every accounting disclosure. The director and appropriate certifying professional must review records before signatures and submission. An annual engagement should define responsibility for books, audit, tax returns, ROC filings and any subsequent resubmission.

What is the OPC annual compliance calendar?

Use the following as a statutory route map, not a universal deadline promise. Financial-year boundaries, first-year status, legal changes, extensions and the company’s actual registrations must be checked before finalising dates.

ComplianceUsual positionImportant distinction
Books and statutory auditMaintain records throughout the year; finalise and audit financial statements. An inactive OPC is not automatically exempt from accounts or audit.
AOC-4OPC financial statements: within 180 days from financial-year closure under Section 137.Do not use the general 30-days-after-AGM rule.
MGT-7AOPC annual return under Section 92 and applicable rules; ordinarily calculated from the date on which the AGM would have been held.OPC has no AGM, but the annual-return filing obligation remains.
Director KYCApply the DIN-holder KYC rule and current transition/cycle.It is a director obligation, not an AOC-4 or MGT-7A substitute.
Income-tax returnCompany return under the applicable tax law and due date.Audit and transfer-pricing conditions can affect the deadline.
GST/TDS/payrollAs triggered by registrations, transactions and applicable law.Not every OPC has every registration or periodic return.

For a normal financial year ending 31 March, 180 days is a statutory interval; do not advertise 30 September as an automatic AOC-4 date without checking the actual calendar and any notified extension. Annual-return due dates must be assessed independently rather than copying the financial-statement deadline.

How is AOC-4 filing different for an OPC?

Section 137 contains a specific OPC rule: the company files a copy of its duly adopted financial statements, along with documents required to be attached, within 180 days from the closure of the financial year. The applicable AOC-4 webform and attachment requirements must be checked against the current MCA workflow.

The finance file starts with the trial balance, bank reconciliation, share-capital ledger, fixed-asset register, outstanding payables, receivables, related-party transactions and tax balances. An auditor needs sufficient records to assess the financial statements. If the company has no revenue but paid incorporation charges, bank fees, cloud-service subscriptions or professional fees, those transactions may still belong in the accounts.

Section 2(40) allows the financial statements of an OPC not to include a cash-flow statement. That is a specific statutory simplification, not permission to omit the balance sheet, profit-and-loss account, notes or audit requirements applicable to the company. Review the disclosure framework applicable to its actual business and accounting standards.

Section 134 addresses signature and approval of financial statements. For an OPC, the statutory signature structure is adapted to its director situation. The auditor’s report and any required board report or simplified OPC disclosures should be prepared under the version of the Act and rules applicable to the relevant reporting year.

The sole member’s adoption decision should be properly documented under the OPC provisions. A meeting should not be invented merely to imitate a multi-member company’s AGM. The supporting records and form fields must reflect the actual approval route. Preserve the signed statements, audit report, member decision, attachments, SRN and payment acknowledgement.

Where the company was incorporated during the financial year, verify the first financial-year period under Section 2(41). A company incorporated on or after 1 January may have a financial year ending on 31 March of the following year under the statutory definition. The result must be checked against actual incorporation date and the applicable current law, not assumed from the calendar year.

What is MGT-7A and how is the OPC annual return prepared?

MGT-7A is the abridged annual return prescribed for OPCs and small companies. It reports the relevant corporate facts, including shareholding, management and changes, as required by the form for the reporting period. AOC-4 reports financial statements; MGT-7A reports the annual corporate position.

Before preparing the return, reconcile the MCA master data with the register of members, register of directors and KMP, share allotment and transfer records where applicable, registered office and the company’s actual structure. Do not automatically copy the previous year’s data if the nominee, director, address, paid-up capital or other relevant particulars have changed.

Section 92(4) links annual-return filing to the AGM date or the date on which an AGM should have been held. OPCs are exempt from the AGM requirement, so the applicable notional timing and MCA instructions should be checked for the specific financial year. An OPC should not postpone its annual return indefinitely on the theory that no AGM occurred.

AOC-4 and MGT-7A are separate filings with separate underlying evidence and possible additional-fee consequences. Failure to file one should not be hidden by completion of the other. Ensure the appropriate signatory and certification requirements are met for the actual form and category.

The annual return is not the correct place to retrospectively fabricate resolutions or missing allotment documents. If the underlying corporate records contain a discrepancy, identify and resolve the issue under the relevant legal process rather than inserting a convenient unsupported date.

When the owner is also the only director, distinguish what that person does in the capacity of member, director and authorised filing signatory. Each statutory capacity has a different legal function even though one individual may hold all three.

Does an OPC need an AGM, board meeting or auditor?

An OPC does not have to hold an annual general meeting under Section 96. Section 122 provides simplified mechanisms for member decisions. A statutory audit remains relevant despite the single-member structure. Board-meeting requirements depend on whether the OPC has one director or more than one.

Section 122 permits a resolution required to be passed at a general meeting to be communicated by the member and entered in the minutes book, signed and dated in the prescribed way. It also provides simplified treatment of certain business that would otherwise involve a board meeting. This is why an OPC file should contain real decisions and signatures rather than fictional attendance sheets.

Section 173(5) ordinarily provides a simplified schedule—one board meeting in each half of a calendar year with at least 90 days between the two—for an OPC with more than one director, subject to the statute. Where an OPC has only one director, the special statutory exemption from the board-meeting requirement must be considered. Changes in board composition can change this analysis.

An OPC is not generally excused from statutory audit merely because the director and shareholder are the same individual or because there are no sales. The auditor’s appointment, tenure, eligibility, independence and resignation or casual-vacancy issues should be checked under Section 139 and related rules. An appointment made at incorporation must not simply be assumed to cover all future periods without reviewing the actual appointment record.

ADT-1 is an auditor-appointment reporting form under the applicable rules. The correct filing position for a particular initial or subsequent appointment, including MCA portal requirements and any exemption or interpretation relevant to an OPC, should be checked rather than presenting every appointment as an identical annual ADT-1 event.

Member records, financial-statement approvals and auditor engagements should be completed in a sequence consistent with the company’s books and law. A professional preparing the filing should ask whether there were share changes, a director replacement, nominee events or any transaction creating a conflict of interest before accepting a routine nil-change statement.

Which documents should an OPC gather for annual compliance?

A useful annual file consists of financial evidence, corporate records, identification information and copies of previous filings. The exact document request should be tailored to whether the OPC operated, held assets, employed staff, imported goods, carried GST registration or had outstanding proceedings.

Financial records ordinarily include bank statements for all accounts, cash records, invoices, sales and purchase registers, expense vouchers, loan and advance details, share-capital contributions, fixed assets, stock records, payroll records and supporting schedules. For a no-revenue company, the nil-sales position should be verified against banking and ledger activity rather than asserted without review.

Corporate records include the Certificate of Incorporation, CIN, PAN and TAN, MOA and AOA, registered-office proof, previous AOC-4 and MGT-7A acknowledgements, auditor appointment letters, the register of members, director particulars, nominee records and signed resolutions or minute entries.

Tax evidence may include filed income-tax returns, Form 26AS/AIS as applicable, TDS challans and statements, GST returns and ledger extracts, GST notices, tax payments and information needed for accounting or audit. A company with a pending tax appeal or government demand must keep that matter visible in its records.

Ask the director to identify changed phone or email details, DSC validity, DIN status, nominee availability, address changes and all access needed for compliant e-filing. Access should be provided through authorised channels; do not request that clients casually share one-time passwords or passwords over unsecured messages.

At the conclusion, assemble a year-wise evidence bundle containing the signed statements, audit report, annual return, acknowledgement and SRN, payment proof, relevant tax returns, statutory decisions and a list of pending issues. This makes next-year reconciliation and responses to notices materially easier.

How is an OPC annual compliance engagement completed?

An organised annual workflow separates evidence collection, legal assessment, audit, corporate approval, filing and follow-up. The following eight stages cover the usual work without treating every OPC as if it has identical registrations, financial statements or reporting exemptions.

1. Confirm the company profile

Check CIN, incorporation date, financial-year boundaries, active MCA status, sole-member and nominee details, directors, registered office, auditor, last filed annual documents and any overdue event-based forms.

2. Reconcile transactions

Collect bank statements and source records; match sales, purchases, payroll, assets, loans, capital, receivables, payables and taxes to the accounting ledger.

3. Assess the applicable obligations

Identify the correct AOC-4 and MGT-7A versions, actual deadlines, conditional tax returns, GST/TDS registrations, director KYC position and any regulatory obligations arising from the OPC’s activity.

4. Finalise and audit statements

Prepare financial statements, required notes and supporting schedules; arrange the applicable statutory audit and review qualifications, material differences and necessary corrections.

5. Record OPC decisions

Use the lawful single-member and director decision mechanisms; obtain authentic dated signatures and preserve any necessary auditor or corporate records.

6. File the applicable ROC forms

Prepare, review, sign and submit AOC-4 and MGT-7A with correct information and attachments; pay the actual portal fees and retain the SRNs.

7. Complete related tax obligations

Coordinate company income-tax return, applicable GST/TDS returns, payments and other activity-based requirements on their own statutory timelines.

8. Review acknowledgements and next steps

Check portal outcomes, resolve resubmissions where necessary, secure records and produce a compliance calendar with unresolved issues clearly identified.

What fees, penalties and delayed-filing issues should an OPC anticipate?

ROC statutory fees and additional fees depend on the form, capital or other fee category, number of delayed days and rules applicable when the filing is made. Audit and professional-service charges are separate. Quoting one universal “OPC annual compliance price” without reviewing the company’s history can mislead owners.

A company that misses AOC-4 or MGT-7A may incur additional filing fees and may also face statutory consequences under the relevant provisions. The existence of an online late-payment option does not automatically mean every contravention has been regularised or that all responsible persons are discharged from liability.

The correct calculation begins by determining the due date under the OPC-specific provision, the relevant financial year, any genuine extension, the date of actual successful filing and the filing fee applicable to that event. A rejected or uncompleted portal transaction should not be treated as successful merely because a draft form or payment attempt exists.

Director KYC should be separately reviewed under the rules effective for the particular year. Older MCA instruction kits still display the historical annual 30 September regime; do not rely on those instructions without checking later amendments and transitional provisions. Where a DIN is deactivated, its status and reactivation route must be verified against current MCA requirements.

Income-tax, GST, TDS and employment compliance have separate late-fee, interest, penalty or prosecution frameworks. A nil-turnover company is not automatically relieved of every return if a registration or statutory obligation remains active.

A professional scope note should identify whether it includes bookkeeping, auditor fees, government fees, additional fees, tax return preparation, DSC renewal, KYC corrections, notice responses and prior-year default work. Keep estimated professional cost separate from fees actually collected by government systems.

Which other annual and event-based obligations may apply?

Annual ROC filing is only one layer of compliance. Depending on the OPC’s activities and registrations, tax, labour, food-safety, export, intellectual-property and local licensing obligations may also apply. Event-based ROC forms are triggered by changes and should not be postponed merely because AOC-4 and MGT-7A are annual.

Income-tax return filing generally remains a separate company obligation. The tax computation may involve business expenses, depreciation, director remuneration, TDS credits, related-party payments, carried-forward losses and other issues. Tax-audit and transfer-pricing conditions can affect form selection and return deadlines, so no one-date answer fits every company.

GST returns and annual return/reconciliation requirements depend on registration, turnover, category, tax period and current notifications. If GST registration is live, a business without sales may still have periodic filing obligations as applicable. TDS statements follow the withholding transactions and statutory thresholds under the Income-tax Act.

Employment creates potential EPFO, ESIC, professional-tax, labour, payroll, gratuity or other duties depending on law and the facts. Food manufacturers should assess FSSAI and relevant product controls. Exporters should separately assess DGFT/IEC, customs, banking, product-specific APEDA or other regulatory and destination-market requirements.

An OPC’s registered-office shift, director change, nominee replacement, capital alteration, new charge, allotment or conversion may need its own filing and corporate record. The company should maintain a change log throughout the year instead of relying solely on a year-end questionnaire.

The initial declaration of commencement of business in INC-20A, where Section 10A applies, is an early event-based compliance generally linked to the statutory period after incorporation. It is not a recurring annual form; verify whether it was filed when reviewing a newly incorporated OPC.

Fictional Bihar makhana OPC: how does its compliance calendar work?

Fictional educational scenario, not a real client or claimed business result: imagine a Patna entrepreneur incorporating Mithila Makhana Foods (OPC) Private Limited to purchase makhana, contract with processors and explore future international sales.

The founder is the sole member and sole director, and a nominee’s consent is properly recorded at incorporation. The company receives share capital and opens a business bank account. It pays for product sampling, packaging design and a warehouse quotation before making any sales. Those early expenses and capital movements must be supported by actual books even if the company’s revenue for its first reporting period is nil.

The owner checks the OPC’s first financial-year end under Section 2(41), appoints an auditor in accordance with the governing rules, keeps invoices and bank records, and prepares financial statements for audit. AOC-4 is then assessed under the OPC-specific 180-day rule; MGT-7A is prepared separately using the company’s true member, director and capital particulars. The sole member records any required decisions using Section 122 rather than holding a fictional AGM.

As the business develops, the owner considers GST registration and filings where legally triggered, FSSAI licensing and food labelling, DGFT IEC, relevant APEDA procedures, customs documentation, authorised banking arrangements, product classification, export contracts and destination-country standards. Each requirement is examined for the actual product and market; incorporation and MCA annual filings do not amount to permission to export.

Suppose the entrepreneur later wants a second equity owner. An OPC cannot simply add a second member while continuing indefinitely in the same OPC form. The company should assess lawful conversion, applicable INC-6 procedures, constitutional documents and the changed member/director structure. The resulting event-based forms and later annual disclosures should be coordinated.

The illustration demonstrates why a realistic compliance calendar covers four separate things: statutory company reporting, truthful accounting, operational licensing and governance changes. Paying a single ROC filing fee does not complete all four workstreams.

What mistakes should OPC owners avoid?

The most common difficulty is treating single ownership as exemption from statutory company administration. An OPC enjoys real procedural simplifications, but inaccurate records, missed annual returns and overlooked tax registrations can still create exposure.

Do not assume that a dormant business automatically qualifies for no returns. First determine whether there is a formal dormant-company status or another applicable exemption, and which provisions continue to apply. Do not label expenses or bank transactions as “nil activity” merely because customer invoices are absent.

Do not use an invented AGM date or attach fabricated attendance records. Section 96 exempts an OPC from AGMs, and Section 122 supplies a genuine record-making route for single-member decisions. Do not confuse the AOC-4 180-day rule with the MGT-7A annual-return calculation.

Do not skip auditor review or assume an auditor engaged once remains correctly appointed indefinitely without checking the appointment terms and legal framework. Do not treat cash-flow-statement exemption as a general exemption from financial statements or audit.

Do not copy last year’s register data without checking a changed director, nominee, registered office, issued capital, bank loan or other relevant event. Likewise, do not confuse director KYC with an OPC filing: the DIN holder may have responsibilities even if the company has not traded.

Finally, do not claim that the MCA portal has accepted annual filings merely because a form was prepared. Record successful submission, payment, SRN and the form’s actual status. Correct filing history is essential when applying for loans, investment, conversion or eventual company closure.

OPC की Annual Compliance क्यों जरूरी है?

One Person Company में एक ही member होने के बावजूद कंपनी की अलग legal identity होती है। इसलिए books of account, statutory audit, financial statements, ROC annual return और लागू tax obligations को पूरा करना जरूरी होता है।

Late filing

Nominee
