MOA Amendment in India: Change of Objects, Name, Office and Capital

Direct answer: A Memorandum of Association (MOA) amendment alters a company’s constitutional clauses. The legal route depends on the clause: a change of objects ordinarily involves Section 13, a special resolution and MGT-14; an authorised-capital increase generally follows Sections 61 and 64 and SH-7; and changes of name or state of registered office involve further approval and filing requirements. Every company should match its resolution, amended clause and MCA filing to the exact alteration proposed.

Prepared as general information for Bihar companies and entrepreneurs. Filing requirements depend on company type, applicable exemptions and current MCA forms.

What is a Memorandum of Association amendment?

The Memorandum of Association is a company’s foundational constitutional document. It states the boundaries within which the company was incorporated, including its name, state of registered office, objects, liability and capital information where applicable. Amending the MOA means legally modifying a clause through the resolution, filing and approval route specified by the Companies Act, 2013, the relevant rules and the company’s own constitutional documents.

An MOA alteration is not identical to editing the company’s master data, changing its trade name, taking an additional GST registration or passing an informal board decision. A director can propose the change and the Board can authorise the necessary general meeting, but members’ approval and Registrar or competent-authority processing may also be required. A revised Word document alone is not an effective statutory alteration.

The first step is to identify exactly what the present MOA says and precisely what is proposed. A company adding food exports may need an objects-clause review. A company increasing authorised share capital needs the capital route. Moving premises within the same city may principally be a registered-office compliance event without a change in the state clause of the memorandum. The correct diagnosis avoids unnecessary filings and misleading claims of approval.

Section 13 is central to several MOA alterations, but it does not impose one universal workflow on every constitutional change. Section 61 deals with specified alterations of share capital, Section 64 requires notice of such alterations, Section 12 regulates registered-office changes, and special regimes may apply to charitable Section 8 companies or other regulated entities.

Which MOA clause is being changed?

The clause selected determines the relevant shareholder approval, government involvement, filing package and event date. Use this comparison as an orientation, then verify the current MCA workflow and the company’s particular status before submitting a form.

AlterationLegal routePrincipal forms or action
Objects clauseSection 13; ordinarily a special resolution. Additional rules may apply to public-issue proceeds.MGT-14 and revised MOA/e-MOA as applicable.
Company nameSection 13; name availability, special resolution and required approval, subject to statutory exceptions.Name reservation route, MGT-14 and INC-24 where applicable; fresh certificate.
Registered officeSection 12 for address moves; Section 13 and competent-authority approval where the state changes.INC-22, MGT-14, INC-23 and related filings as applicable to actual move.
Authorised capitalSections 61 and 64; check AOA authority and the relevant resolution.SH-7; MGT-14 only where independently applicable.
Liability or other clauseSection 13 and any clause-specific rule or restrictions.MGT-14, revised MOA and additional documents as applicable.

Changing the company’s trade or product label does not always change its registered name. Likewise, moving from one Patna address to another does not ordinarily change the state of the registered office stated in the MOA. Keep the statutory change narrow and avoid mixing separate transactions simply because they occur together.

How is an objects-clause amendment carried out?

The objects clause is especially relevant when a company expands into a materially new line of business. Section 13 ordinarily requires a special resolution for an alteration of the objects clause, registration of the resolution and revised memorandum through the prescribed MCA mechanism. An objects amendment should clearly describe the proposed business in lawful language and should not be used to represent that licensing or regulatory approvals have already been obtained.

Start by obtaining the latest registered MOA, not merely a copy found in an old incorporation folder. Review its main objects and the proposed activity: for example, manufacture, processing, packing, wholesale distribution, export, import or digital supply services. Identify whether the proposed work is already fairly covered. Avoid inserting a long list of unrelated industries merely in the hope of reducing future legal work; vague drafting can create bank, due-diligence and regulatory questions.

The Board normally considers the commercial reason, proposed altered wording, explanatory statement and the calling of a general meeting. The meeting notice must follow the applicable notice and explanatory-statement provisions, including Sections 101 and 102 where relevant. A special resolution requires votes in favour to be at least three times the votes cast against by members entitled and voting under Section 114. The proposed altered clause should match the clause actually put to members.

After the special resolution, the company prepares MGT-14 within the applicable statutory period, ordinarily thirty days for a special resolution under Section 117, along with the supporting records required by the current webform. MCA’s instruction kit expressly describes e-MOA as a linked form for an alteration in the objects clause where applicable. The filing record, revised clause, resolution and attachments must be internally consistent.

Where a company raised money from the public through a prospectus and still has unutilised proceeds, Section 13(8) introduces additional safeguards before changing the objects for which the money was raised. Do not assume that the same simplified private-company scenario applies. Evaluate the relevant disclosures, publication, shareholder approval and exit-related conditions on the company’s actual facts.

An objects alteration and sectoral licensing are separate matters. A food company may still need the appropriate FSSAI authorisation; an exporter may need IEC and other trade documents; a pharmaceutical business may need specific drug-regulatory approvals. Registration of a revised object is not a substitute for carrying out these independent obligations.

What is required for a company name change?

A registered-name amendment commonly involves checking proposed name availability, obtaining the necessary internal approvals, passing the relevant special resolution and applying through the prescribed MCA process. Section 13(2) deals with change of name and applicable approval. A fresh certificate of incorporation is central to establishing the registered change, subject to the governing provisions and any applicable exceptions.

Distinguish a brand, trademark and company name. A company can market packaged makhana under a brand that differs from its registered name; whether the MOA name clause needs amendment depends on whether its legal registered name is being changed. Trademark searches and registration are separate exercises that should be coordinated with, not confused with, MCA name availability.

Before filing, check whether the company is in default, subject to restrictions, under an order, or in a category that has additional approvals. Review the proposed name against statutory naming requirements and existing marks. Where a name is changed, also plan consequential updates to PAN-related records, GST, licences, bank accounts, contracts, invoices, website, signage and contractual notifications as applicable.

Do not advertise a name change as complete merely because the members have approved it or a proposed name is reserved. The required governmental processing and certificate matter. Where only typographical correction or name rectification under a distinct provision is involved, assess that specific route rather than using a generic voluntary-name-change checklist.

When does moving the registered office require an MOA amendment?

An address change and an MOA amendment are not necessarily the same transaction. The MOA’s registered-office clause identifies the state in which the registered office is situated. A move within the same state may require statutory registered-office address compliance without altering that state clause. By contrast, a move from Bihar to another state generally brings the Section 13 interstate-change framework into consideration.

For moves within local limits, outside local limits but within the relevant jurisdiction, between Registrar jurisdictions in one state, and from one state to another, the applicable approvals can differ. Section 12, Section 13, the Companies (Incorporation) Rules and the company’s status must be examined together. Depending on the case, the filing set may involve INC-22, MGT-14, INC-23, INC-28 or further documentation; there is no reliable one-form answer for all moves.

An interstate move may require a special resolution and approval by the competent Central Government authority under the statutory/delegated framework. Creditor, debenture-holder, employee, litigation and regulatory implications may be relevant to the supporting documents. An affidavit or list is not a substitute for genuine creditor analysis, and the company must not misstate pending obligations.

For a Bihar business contemplating an office in Jharkhand or West Bengal, consider whether a branch office or additional place of business would meet the commercial objective without relocating the registered office. Branch establishment, GST registration and changing the state clause of the MOA are different decisions. Address each separately to avoid expensive and unnecessary constitutional amendments.

How can authorised share capital be increased?

An authorised-capital increase is a capital-clause alteration but ordinarily follows Section 61 read with Section 64, not the standard objects-change procedure under Section 13. The company must first check whether its Articles of Association authorise the contemplated capital alteration. If the articles do not provide the necessary authority, an AOA amendment may be required before or alongside the capital exercise.

The applicable member approval depends on the proposed change and the company’s constitutional documents. For a routine increase in authorised capital where Section 61 and the AOA permit it, an ordinary resolution is commonly used. This is not a reason to state that all MOA alterations require special resolutions. The notice and resolution should identify the existing and revised authorised capital, face value, classification and revised MOA capital clause.

Section 64 requires the prescribed notice to the Registrar within thirty days for alterations covered by Section 61(1), and the form is SH-7 under the applicable rules. MCA fees and any stamp-duty component depend on the applicable capital figures, state and current portal calculation. Do not quote a universal fixed total without the company’s existing capital, proposed capital and registered-state particulars.

Increasing authorised capital creates capacity for a permitted issue but does not itself allot shares, bring cash into the company or change the shareholding pattern. A later issue or allotment may trigger separate board/member approvals, valuation or pricing considerations and filings such as PAS-3, depending on the route. This distinction is particularly important when investors ask whether an increase of authorised capital means their investment has already been completed.

Capital reduction follows a different and more stringent statutory route under Section 66 where applicable. It cannot be treated as the reverse of the ordinary SH-7 authorised-capital increase. Similarly, consolidation, subdivision, cancellation of unissued shares and other Section 61 actions must be checked against their own terms and filing consequences.

Which documents should be kept for MOA amendment?

The filing package should tell one consistent story about the current clause, the proposed text, who approved it, the date of approval, the statutory route and the resulting registered document. The following list combines recurring statutory evidence and prudent business records; not every item applies to every alteration.

  • Current certificate of incorporation, CIN and latest registered MOA and AOA.
  • Written statement of the proposed change and business justification.
  • Exact proposed substitute wording and a clean amended MOA or linked e-MOA where applicable.
  • Board notice, agenda, properly drafted resolution and minutes.
  • General meeting notice and explanatory statement, if required.
  • Proof of dispatch, attendance/voting records, member resolution and minutes as applicable.
  • MGT-14 attachments and SRN where a registrable resolution is involved.
  • SH-7 and capital computation for the relevant capital-clause alteration.
  • Name-availability and INC-24 documentation where a name change is involved.
  • Registered-office proofs, consent, creditor documents and competent-authority order where applicable.
  • Updated statutory registers, lender consents or contractual approvals where required.
  • Final MCA acknowledgement, certificate, registered revised MOA and a compliance handover note.

For closely held companies, collect the latest shareholder list and identify members entitled to notice and vote. For companies with investors, debentures or bank facilities, review reserved matters and covenants. For a Section 8 company or regulated business, assess whether a regulator’s consent or a clause-specific condition precedes filing.

Keep the latest digitally signed filed forms and official acknowledgements together with the exact versions approved by the Board and members. A folder containing many near-identical drafts but no traceable final version is a common cause of confusion during future funding, bank due diligence or litigation.

What are the eight practical steps for an MOA alteration?

  1. Classify the amendment. Identify name, objects, state of registered office, capital or another clause. Separate constitutional changes from ordinary address, brand or portal updates.
  2. Review existing authority. Read the current MOA, AOA, statutory registers, lender conditions and any category-specific restrictions. Confirm the company’s filing/default status.
  3. Draft the proposed text. Prepare the exact substitute clause and a concise business reason. For capital changes, reconcile authorised-capital arithmetic before making the resolution.
  4. Obtain board approval for the process. Follow a valid board process for recommending the amendment and convening members’ meeting, where needed.
  5. Complete member approval. Issue legally compliant notice and explanatory statement, hold the meeting or use a lawful alternative, and pass the correct ordinary or special resolution for that particular route.
  6. Make the MCA filings. Submit MGT-14, SH-7 or other clause-specific forms and linked e-MOA/e-AOA where the current portal requires them; use the prescribed time period and correct attachments.
  7. Obtain required registration or approval. Address any resubmission and obtain the competent authority’s approval, certificate or registered alteration where the statute requires it.
  8. Implement consequential changes. Update records, bank/KYC details, licences, tax registrations, contracts and website where relevant, and preserve the complete evidence pack.

The steps are a planning sequence, not a substitute for the legally required order of particular applications. For example, approval for interstate registered-office migration and the final effective registration have their own sequence. The company should follow the actual current MCA workflow rather than submit every form simultaneously.

What filing deadlines and government fees apply?

A special resolution that is registrable under Section 117 ordinarily has to be filed in MGT-14 within thirty days of its passing. The authorised-capital and other specified share-capital alterations under Section 64 likewise carry a thirty-day notice period. These are different statutory triggers: one is tied to a registrable resolution, the other to a covered capital alteration. The exact deadline should be derived from the real event and current applicable rules.

Other routes have their own form windows, prerequisites and processing requirements. A registered-office move may require prompt INC-22 filing, and a name or interstate state change can require prior approvals before the altered position is treated as complete. Late fees, adjudication exposure and other consequences depend on the form and the period of default; do not assume that merely paying additional filing fees cures every underlying compliance breach.

Government filing fees depend on the form, the company’s nominal capital or other classification and the MCA fee tables. An authorised-capital increase may involve additional stamp duty or ad valorem charges determined by relevant law and portal computation. Professional drafting fees are a separate matter and should be agreed only after reviewing the corporate documents and the proposed transaction.

When a filing is marked for resubmission, record the SRN, reason, current resubmission window and the exact document needing correction. MCA’s current MGT-14 instruction kit describes the online submission, DSC attachment, linked e-MOA where relevant and payment sequence. A screenshot of an incomplete application should not be described as proof that the amendment has been registered.

How does MOA amendment differ from AOA amendment and routine changes?

The MOA states the foundational framework of the company, while the Articles of Association generally regulate internal management, powers, procedures and governance. Section 14 primarily addresses alteration of articles, subject to its own legal requirements. A company sometimes needs both instruments amended, but an MOA filing should not be assumed to change the AOA automatically.

For example, increasing authorised capital may require checking whether the AOA empowers the company to make that alteration. A new business line may be addressed through the objects clause without changing director-appointment provisions. Creating special investor rights, restrictions on transfers or board nomination mechanisms may require AOA/shareholders’ agreement analysis rather than an objects-clause amendment.

A GST business-activity amendment, Udyam detail update, IEC profile change, trademark application, change of principal place of business or addition of a branch is also distinct from an alteration of the registered memorandum. Coordinated record updates can be necessary, but one portal should never be assumed to update all the others automatically.

Choosing the correct route at the beginning avoids contradictory records: a company may otherwise tell its bank that it has legally changed its corporate name when only its brand has changed, or claim increased paid-up capital after filing only an authorised-capital alteration.

What special issues arise for Section 8, public and regulated companies?

Section 8 companies are formed subject to licence conditions and statutory restrictions. Their constitutional documents and proposed changes require specific scrutiny under Section 8 and the current rules; the routine private-company assumptions about altering memorandum or articles should not be copied without considering the requisite approval. Where charitable objects are involved, other registration, tax exemption and funding conditions may also be affected.

A public company that raised funds through a prospectus and has unutilised money faces the special Section 13(8) framework when changing relevant objects. It must not replace those safeguards with the ordinary closely held private-company procedure. Listed companies can also have stock-exchange, securities-law and shareholder-disclosure obligations that exist in addition to MCA filings.

Regulated entities such as NBFCs, insurance businesses, intermediaries, educational institutions and sectoral licensees may need regulator approval or licence variation before acting on a new object or name. The MOA’s legal capacity and permission to conduct a regulated activity are separate. A broad object clause does not itself amount to RBI, SEBI, FSSAI, drug, educational or any other sectoral authorisation.

Where there is pending litigation, winding-up/insolvency activity, a charge, lender covenant or shareholder dispute, the proposed amendment should be reviewed against those facts. An amended clause should not be used to disguise an existing default or to defeat lawful creditor rights.

Fictional Bihar makhana business example: expanding objects for export

Fictional educational illustration—not an actual client or completed transaction. Imagine three entrepreneurs in Darbhanga forming “Mithila Harvest Foods Private Limited” to procure, clean, grade and pack makhana for domestic sale. Their initial memorandum is drafted around domestic processing and distribution. After establishing a production process, the directors explore direct international sales under the company’s own contracts.

The Board first compares the existing objects clause with the proposed activity. If the existing wording adequately covers the intended operations, an amendment may not be necessary merely because customers will be abroad. If a material new activity falls outside the existing objects, the company prepares an appropriately drafted revised objects clause covering the actual intended business, rather than blindly inserting every industry or claiming a hypothetical export approval.

The directors consider the proposed wording, approve a valid process to convene members, circulate the notice and explanatory statement, and place the specific amendment before members. If the ordinary Section 13 objects route applies, the company passes a special resolution and makes the MGT-14 filing with the appropriate revised e-MOA/MOA material. It retains the MCA acknowledgement and registered corporate record rather than treating the draft text as final.

After the constitutional exercise, export readiness remains a different workstream. The company checks IEC requirements under DGFT, appropriate FSSAI licensing for food activities, APEDA-related registration or support where applicable, packaging and labelling requirements, product classification, banking arrangements, foreign-exchange compliance, customs documentation and the destination country’s food rules. Whether particular registration or documentation is required depends on the actual product, trade route and relevant notification.

The company also examines who may sign export contracts, how payments and quality disputes will be documented, and how ownership and decision-making will be recorded in the Board and AOA. There is no assumption that the MOA amendment produces an export order, foreign buyer, export revenue, customs clearance or licence. The illustration shows how constitutional capacity, operational compliance and commercial execution must be kept distinct.

The same reasoning applies to other Bihar businesses entering e-commerce, logistics, consultancy or manufacturing: first review the actual registered objects, then choose the narrowest lawful company-law change, and finally assess the separate licences and trade obligations of the new activity.

Which filing and drafting mistakes should companies avoid?

Using one form for every amendment. MGT-14 for an objects clause, SH-7 for a Section 61 capital alteration and the forms associated with a name or office change serve different functions. Filing whichever form sounds familiar can misstate the statutory event.

Assuming every MOA alteration needs the same resolution. Ordinary capital increases and Section 13 special-resolution amendments must be distinguished. Review the AOA and the actual applicable statutory provision before choosing the resolution.

Ignoring the exact existing clause. A proposed new object can already be adequately covered or may conflict with an earlier clause. Comparing the registered text against the proposed operations is preferable to indiscriminate copying from another company’s memorandum.

Copying resolutions without commercial and statutory context. A valid explanatory statement must accurately explain the material facts in the appropriate case. Do not invent shareholder consent, conflict disclosures, creditor clearance or government approval.

Inconsistent text between notice, resolution and e-MOA. Even a small difference in the approved wording can trigger clarification and undermine the evidentiary value of the corporate record. Maintain one controlled final draft.

Treating an SRN as the final outcome. A generated reference number demonstrates a step in the filing process, not necessarily final acceptance, approval or a fresh certificate where legally required.

Forgetting connected business records. A genuine company-name or state change can require subsequent tax, bank, contract, licence and public-document updates. An objects change does not automatically change any existing regulatory licence.

Inventing fee or timeline guarantees. Costs and processing depend on the clause, capital, stamp duty, company condition, current portal rules and whether resubmission or authority approval is involved.

MOA Amendment

MOA Amendment

Object Clause

Company Name

सबसे पहले current certificate of incorporation, CIN, latest registered MOA तथा AOA रखें।

MCA Filing

MOA Amendment

How can Bihar Tax Consultant assist with a proposed alteration?

The office can coordinate a preliminary document checklist, review the existing and proposed clause, organise company-law drafting, identify the relevant resolution and form pathway, and assist with enquiries about ROC compliance. The particular scope—documentation, filing support, legal opinion, tax implications or connected business registration—should be confirmed with the relevant professional before engagement.

For a company with a disputed shareholder decision, pending litigation, lender restrictions, unutilised public-issue proceeds or regulated activities, the underlying legal constraints need individual attention. A standard document package is not a substitute for that review. The objective is to align the company’s proposed constitutional change with the correct statutory route and accurate recordkeeping.

For businesses in Patna and across Bihar, a properly planned amendment can make later bank, investor, tender or licensing due diligence more straightforward, but no particular approval time or commercial result is promised.

Frequently asked questions /

What is an MOA amendment?

An MOA amendment is a legally effective alteration of a company’s memorandum. The procedure depends on whether the change concerns objects, name, registered-office state, authorised capital or another clause.

Which section governs an objects-clause amendment?

Section 13 of the Companies Act, 2013 ordinarily governs alteration of the objects clause, with a special resolution and the prescribed filing/registration process.

Which MCA form is filed for a change in objects?

MGT-14 is the principal form for filing the relevant special resolution. The current MCA workflow may link an updated e-MOA and require supporting documents.

Does every MOA change need a special resolution?

No. For example, an authorised-capital increase permitted by the AOA generally follows Sections 61 and 64 and ordinarily uses an ordinary resolution, with SH-7 filing.

Can authorised capital be increased through SH-7?

SH-7 is the prescribed notice form for relevant share-capital alterations. Check the AOA, resolution, revised capital clause and applicable fees.

Does increasing authorised capital allot shares?

No. Increasing authorised capital does not itself allot shares, change paid-up capital or receive investor funds. An allotment is a separate legal event.

Is an MOA amendment required to move office within Patna?

Not necessarily. A same-state address move may require Section 12 and INC-22 compliance without altering the MOA state clause. Check the precise route.

Can a company change its registered office from Bihar to another state?

An interstate registered-office change generally requires the Section 13 framework, relevant member approval and competent-authority approval along with prescribed filings.

Can a company use a new brand without changing its registered name?

A brand and registered company name are different. Using a brand does not by itself establish that the registered-name clause must be changed; trademark and other laws remain relevant.

What is the time limit for MGT-14?

For a registrable special resolution, Section 117 ordinarily requires MGT-14 filing within thirty days after the resolution is passed, subject to current applicable provisions.

Does an objects amendment give permission to export food?

No. MOA alteration and export readiness are separate. Assess DGFT/IEC, food licensing, APEDA-related and destination-country requirements as applicable.

Is an MOA amendment sufficient for a Section 8 company?

Section 8 companies face additional statutory/licence restrictions. Their amendment route must be evaluated under the applicable Section 8 requirements and approvals.

हिन्दी FAQs

MOA Amendment

Object Clause
