Partnership Firm Registration in Bihar: Deed, Registrar of Firms, PAN & GST

Partnership firm registration is the process of placing a traditional partnership firm on the Register of Firms under Sections 58–59 of the Indian Partnership Act, 1932, through the relevant state Registrar. In Bihar, the Registration Department directs new firm-registration applications to the eNibandhan portal. Partners should separately prepare an accurate partnership deed and assess PAN, tax, banking and licence requirements for their actual business.

A registered partnership is not the same legal structure as a limited liability partnership (LLP) or a private limited company. Ordinary partners generally remain jointly and severally liable for acts of the firm undertaken while they are partners, subject to the applicable provisions of the Partnership Act. Registering the firm does not transform it into a company or grant limited liability.

Bihar Tax Consultant provides an enquiry point for partnership-documentation, firm-registration and connected tax-compliance work. The correct process depends on the state of the principal place of business, the number and eligibility of partners, proposed activities, stamp requirements and the current application instructions.

For general information, not individual legal advice. Registration and approval are not guaranteed.

What is a partnership, and how is it legally formed?

Section 4 defines partnership as a relationship between persons who agree to share profits of a business carried on by all or any of them acting for all. A genuine agreement and the principle of mutual agency matter: a person may act for the firm and, within the law and authority granted, bind the other partners. Merely calling an arrangement a partnership does not settle its true legal character.

The partnership agreement may be oral in principle, but a written deed is normally the practical foundation for registration, banking, tax records and dispute prevention. It records names, contributions, profit-and-loss sharing, business objects, management powers, remuneration, capital accounts, admission, retirement and exit arrangements. The deed should match the real commercial arrangement rather than being a template signed without discussion.

Partners should decide whether the partnership is at will or created for a defined term or particular project. They must also consider who can sign contracts, operate bank accounts, incur borrowing, employ staff, admit a new partner, buy property or settle disputes. These questions become more important than the mere registration number once the business starts operating.

Ordinary partnership firms do not receive incorporation certificates from the Ministry of Corporate Affairs through FiLLiP or SPICe+. Those routes concern LLPs and companies respectively. A Bihar partnership is registered through the state firm-registration system under the applicable Partnership Act process.

Partnership firm vs LLP vs sole proprietorship: which rules differ?

The choice of structure affects liability, governance, registration authority and compliance costs. Traditional partnerships work through a partnership agreement and the Partnership Act; LLPs are incorporated under the LLP Act and are a separate legal entity. A sole proprietorship, by contrast, is a business operated by an individual proprietor, not a partnership between two or more persons.

The appropriate structure depends on how many founders there are, the risk of the business, expected investment, lender demands, ownership changes, succession plans and future contracts. A partnership can be commercially convenient for a small venture, but the ordinary personal-liability position must be understood before choosing it.

Is registration of a partnership firm compulsory?

The central Partnership Act permits registration under Section 58 at any time, but operating an unregistered firm can create serious practical and litigation limitations. Section 69 restricts specified suits to enforce contractual rights by or on behalf of an unregistered firm and contains additional rules concerning partners suing the firm or other partners. The full scope of the restriction and its exceptions depends on the claim and the statute.

Consequently, the absence of a registration certificate does not necessarily mean that no partnership relationship exists; however, it can seriously affect the firm’s ability to enforce particular contractual claims in court. Registration is therefore often a prudent early governance step, especially where the firm will sign substantial customer contracts, supply agreements, leases or credit arrangements.

Do not assume every kind of proceeding is barred by Section 69. The provision is specific and includes exceptions, including certain dissolution-related claims. Its application to a particular dispute calls for careful legal analysis. Equally, a registered firm cannot rely on registration as a substitute for proper contracts, records and lawful operations.

Before applying, review current Bihar forms and rules, ensure that the deed and registration statement are consistent, and check if a state-specific rule or filing requirement affects the application. No guaranteed certificate timeline should be assumed from an advertised service package.

Who may become a partner, and what should founders decide?

Partnership requires persons competent to enter into the agreement. The precise capacity of a proposed partner depends on applicable law and the nature of the proposed arrangement. Section 30 separately provides for a minor being admitted to the benefits of an existing partnership, which is different from making the minor an ordinary partner with full contractual responsibilities.

Founders should establish identity and address, the intended contribution of each person, the profit-sharing ratio, management and voting powers, and who will represent the firm to banks and public authorities. If an entity rather than an individual proposes to participate, obtain company-law or entity-specific advice about its legal capacity and authorisation.

The deed should specify whether partners contribute cash, inventory, equipment, intellectual property, immovable property or services. Where property is contributed, separate transfer, registration, valuation, stamp-duty or tax implications may arise. Writing “capital contributed” in a deed does not automatically perfect a legal transfer of property.

Also consider whether any regulated profession or business activity has licensing, professional-ethics, foreign-investment or eligibility constraints. A general registration under the Partnership Act does not override those sector-specific laws.

How should a partnership deed be drafted?

A partnership deed is the commercial rulebook of the firm. A well-drafted deed reduces ambiguity and allows banks, tax professionals, customers and later partners to understand who can bind the firm and how financial rights are calculated. The deed should reflect an actual agreement reached by the partners and be executed with the stamp duty and formality applicable in the relevant state.

At a minimum, identify the firm name, principal place of business, each partner, business activities, date of commencement, duration, capital contribution and profit-and-loss sharing. State whether the firm is at will and whether branch offices or additional business lines may be opened with or without unanimous agreement.

The operational clauses are often where disputes arise. Specify who maintains the books, who can open and operate accounts, borrowing limits, how payments are approved, whether partners may run competing businesses, confidentiality, access to records, use of brand and assets, and the process for resolving deadlocks.

Plan for admission, retirement, death, incapacity and dissolution. Describe how outgoing partners’ interests and goodwill are valued, when accounts are settled, how notices are delivered and who remains responsible for outstanding contracts. Consider dispute-resolution and jurisdiction clauses with proper advice. Do not assume that a restrictive covenant is enforceable merely because it is in the deed.

For income-tax purposes, the characterization and deductibility of partner remuneration or interest can depend on specific statutory conditions and deed terms. Do not insert arbitrary percentages or claim automatic tax advantages without reviewing the applicable tax law and the firm’s accounts.

Deed drafting checkpoint

Before signing, each partner should be able to explain the profit ratio, decision-making authority, borrowing limits and exit formula in ordinary language. A signed deed is most useful when it records genuine consensus.

Which documents are needed for firm registration in Bihar?

The exact upload list, formats, fee and verification route must be checked on Bihar’s current eNibandhan service. Section 58 itself specifies the particulars of the registration statement; the deed, identity records and address evidence support a coherent application. Some supporting items listed below are preparation recommendations rather than a claim that each is always a statutory attachment.

For registration purposes, the firm name should be checked against the limitations in Section 58, including restricted words that imply government patronage without the required consent. Independently search relevant trademarks and business names where the firm will create a public-facing brand.

  • Proposed firm name and principal place-of-business address.
  • Names, full permanent addresses and identity documents of each partner.
  • Dates each partner joined and the duration of the proposed firm.
  • Executed partnership deed with applicable stamping and any required verification.
  • Details of additional business locations, if any.
  • Premises ownership, tenancy, rent agreement, consent or utility evidence as requested.
  • Mobile and email details for lawful contact and portal verification.
  • Signatures and prescribed verification by partners or specially authorised agents.
  • Proof of prescribed government fee and online application acknowledgement.
  • Other documents specifically requested in the applicable Bihar application workflow.

Keep legible digital copies and preserve the signed originals. If the firm’s stated address differs among the deed, application and premises proof, correct the discrepancy before filing.

How does partnership firm registration work in Bihar?

The Bihar Registration Department has announced that new firm and society registration applications are available on eNibandhan. The registration statement must contain the particulars required under Section 58 and be submitted with the applicable fee and verification. Under Section 59, registration follows when the Registrar is satisfied that the statutory requirements have been met and records the entry in the Register of Firms.

This eight-step sequence combines the statutory process with practical document preparation. The portal’s current screens and validation requirements take precedence over any illustrative screen sequence on this page.

  1. Choose the structure and partners. Confirm that a traditional partnership is suitable, and agree the contribution, management and liability position.
  2. Review the name and address. Check prohibited or misleading words, possible trademark conflicts and reliable principal-office evidence.
  3. Draft the deed. Finalise profit sharing, authority, capital, admission, retirement and dispute-resolution provisions.
  4. Execute the deed. Apply relevant Bihar stamp and execution requirements and preserve the signed original.
  5. Prepare Section 58 particulars. Align firm name, location, joining dates, partners’ full names and permanent addresses, duration and any other prescribed fields.
  6. Apply through the current Bihar route. Use the official eNibandhan service for new firm registration, upload requested records and pay the portal-displayed fee.
  7. Resolve any official query. Respond with corrected particulars or documents without misrepresenting the agreed relationship.
  8. Preserve the Register entry and complete connected tasks. Keep official registration evidence, apply for firm PAN as needed, arrange banking, assess GST and other registrations, and maintain accounts.

Open Bihar’s official eNibandhan portal.

How much does registration cost and how long does it take?

Total cost consists of the applicable government registration fee, stamp duty on the deed if applicable, documentation or execution expenses, and any professional service charges agreed separately. These components should be shown separately in a quotation. A registration-service fee is not the same thing as a government levy.

Bihar’s Registration Department publishes its own fee chart and maintains the online application channel. The amount payable should be confirmed directly from the current official schedule and the portal before payment; this page does not advertise a fixed government fee without current transaction-level verification.

Turnaround depends on completeness, portal function, scrutiny and the authority’s decision. Preparation of the deed and an online acknowledgement are not equivalent to a completed Register of Firms entry. Avoid entering contracts that depend on completed registration unless the relevant evidence has actually been issued.

A document discrepancy, reserved-name issue, incorrect partner details or unclear premises proof can require clarification. Preparing these matters in advance is usually more useful than relying on an unsupported promise of a specific approval date.

What happens after a firm is registered?

Registration is one milestone, not the end of business compliance. The firm may need its own PAN, appropriate bank arrangements, bookkeeping, income-tax reporting and GST registration if the statutory trigger applies. Depending on the business and location, it may also need a trade licence, Shops and Establishments registration, Udyam registration, food-business licence or registration, import–export code or sectoral permission.

The Income Tax Department recognises a partnership deed or the Registrar of Firms certificate as documentary evidence for a domestic partnership PAN application. Its 2026 PAN guidance introduces revised application forms for non-individual Indian entities. Check the form presently required by the authorised PAN service portal rather than relying on outdated Form 49A instructions.

GST registration is not inherent in the partnership deed or Register of Firms entry. Whether the firm must register depends on taxable supply, turnover, location, interstate transactions and other triggers or exceptions under the applicable GST framework. The GST portal has separate fields for partners, authorised signatories, places of business and supporting documents.

Partners should define who keeps the books and who signs tax returns, invoices, contracts and bank instructions. A firm’s PAN, GSTIN and business bank account must be used consistently with the legal name and other current records. Partner changes should prompt a review of the deed, tax registrations, authorised signatories and public notices as required.

How do changes in partners, addresses and dissolution affect registration?

Section 60 addresses alterations in a registered firm’s name and principal place of business; Sections 61–62 address certain branch, name and address particulars; Section 63 addresses changes in constitution and dissolution. These provisions should be considered when the original registration no longer reflects the facts.

A new partner, a retiring partner or a change in profit-sharing arrangements may also require a revised deed and updates to banks, GST registrations and contractual counterparties. The legal effects of retirement, public notice, indemnity and continuing liability require separate analysis, especially where the firm has outstanding debts or disputes.

Dissolution is not achieved merely by stopping operations or closing a current account. Partners should settle firm debts and assets, complete tax and licence obligations and make any relevant Registrar notifications. The applicable route depends on whether dissolution is consensual, under a deed clause or disputed.

Keep old and new deed versions, filing acknowledgements and dated notices. A clear history protects business continuity and helps distinguish responsibility before and after a change in the firm.

What are the main mistakes to avoid?

Confusing a firm with an LLP. Ordinary partnership registration does not provide a separate LLP legal entity or limited liability.

Using a generic deed. A deed without workable borrowing, authority, profit sharing and exit provisions may create disagreements just when the business becomes valuable.

Assuming unregistered means risk-free. Partners may still face liability for firm acts, while Section 69 can restrict specified proceedings to enforce contractual rights.

Applying through an outdated portal. Bihar now directs new firm-registration applicants to eNibandhan. Confirm the current route and pay only through official channels.

Ignoring a firm PAN. Partners’ individual PANs are not an automatic substitute for the firm’s own tax identity when a firm PAN is required.

Inventing a universal GST threshold. The actual registration position depends on the nature and location of supplies, applicable rules and exceptions.

Overlooking a trademark search. Entry in the Register of Firms is not a trademark-registration certificate or a guarantee that a chosen brand is non-infringing.

Failing to record changes. Admission, retirement, address changes and dissolution should be reviewed across the deed, Registrar record, bank, tax and operational systems.

Fictional Bihar makhana example: forming a partnership for export-readiness

Fictional educational illustration, not a client result. Imagine that three entrepreneurs from Mithila propose “Mithila Harvest Foods” as a traditional partnership to procure, grade and package makhana. They agree that one partner handles sourcing, one oversees production and one manages sales. Before registration, they document their capital contributions, profit sharing, purchasing limits, banking authority and procedure for admitting another partner.

The partners execute an appropriately drafted deed and prepare the Section 58 particulars for Bihar’s firm-registration route. They verify that the proposed firm name is legally appropriate and undertake a separate trademark check. On completion of the applicable process, they preserve the official Register of Firms evidence and review the need for a firm PAN, bank account, GST and other business registrations.

Their ambition is to sell makhana internationally, but partnership registration alone does not permit every form of food export. They separately review their product and operations against the relevant food-business registration or licence, DGFT/IEC requirements, any applicable APEDA procedures, customs and banking rules, packaging and labelling standards, destination-country restrictions and commercial contracts.

In this model, mutual agency and partner liability are commercial design issues: for example, the deed may restrict who may accept a large foreign purchase order, borrow against inventory, or approve an export agent. The partners should also consider whether an LLP or company structure would better fit future financing and risk exposure.

No foreign buyer, shipment, profit or approval is assumed in this illustration. Its purpose is to show that a sound partnership deed and compliant registration create a clearer operating foundation but do not replace sector-specific compliance or guarantee international sales.

Banking, accounts and partner authority after registration

Before opening a current account, the partners should identify who is authorised to operate it and obtain the documents requested by their bank. Depending on the bank and the actual circumstances, these may include the executed partnership deed, firm PAN, official registration evidence, partner identity documents, beneficial-ownership details and a banking mandate. No single universal account-opening list can be promised.

The partnership deed should distinguish authority to make routine payments from authority to borrow, create security, sign major supply contracts, acquire property or settle litigation. Appropriate dual approvals, documented spending limits and secure credential handling can prevent internal confusion. Review any authority restriction in light of the Partnership Act and the way the firm communicates with third parties.

Accounting should separately record partners’ capital, drawings, agreed remuneration, expenses, business assets, liabilities and advances. The firm should preserve invoices, stock records and transaction evidence, including records needed for income-tax and GST compliance where applicable. Agree who prepares financial information and when all partners may inspect it.

If the business processes food, employs workers, opens branches or enters export contracts, partnership registration remains only one part of compliance. Relevant sectoral licences, contractual capacity, banking documentation and cross-border requirements must be assessed separately. An official Register of Firms entry does not by itself authorise all business activities.

Disputes, retirement and long-term continuity

Partners can avoid predictable conflicts by deciding in advance which matters require unanimous consent, how routine decisions are taken, when accounts are shared and how an impasse is addressed. A structured dispute-resolution clause should reflect the business and applicable law, rather than assuming that any chosen clause will be valid for every type of dispute.

An agreed retirement procedure should cover notice, valuation, settlement of capital and current accounts, responsibility for existing obligations, firm property, confidential information and the continued use of the firm name. The legal implications of a partner’s exit, public notice and third-party liability should be considered under the applicable Partnership Act provisions.

Where partners want to introduce an investor or operate a higher-risk business, compare the traditional partnership structure with an LLP or company. Any restructuring requires its own legal, tax, contractual and registration assessment; a traditional firm does not simply become an LLP because the partners agree to change its title.

In family businesses, personal relationships should not be used as a substitute for properly documented ownership, authority and succession arrangements. If the partners contribute land or other valuable assets, assess whether independent transfer documents, stamping, registration and tax advice are needed.

केवल Registrar of Firms में registration से limited liability नहीं मिलती।

How can Bihar Tax Consultant assist with partnership firm registration?

The team can receive enquiries about selecting a suitable business structure, drafting or reviewing the partnership deed, organising Section 58 particulars, preparing the Bihar registration document set and checking the connected PAN, GST and licence workstreams. The actual scope, government charges and professional fees should be agreed in advance.

Where partners are contributing property, admitting investors, restructuring a pre-existing business or facing an ownership dispute, the work may need separate advice on property transfer, tax, contract enforcement and litigation. An ordinary firm-registration application should not be portrayed as solving all these issues.

For Bihar-based entrepreneurs, the practical starting point is a clear agreement among the partners, accurate identification and address details and a realistic assessment of ongoing compliance. Call the office to discuss the intended business and required documentation.

Where can a partnership firm be registered in Bihar?

Bihar’s Registration Department directs new firm-registration applications to the official eNibandhan portal. Check the current form, fee and supporting-document instructions there.

Is a partnership deed enough without Registrar registration?

A deed helps evidence the agreement, but it is not the same as an entry in the Register of Firms. Section 69 imposes restrictions on certain contractual suits involving an unregistered firm.

How many people are needed for a partnership firm?

Partnership involves two or more persons agreeing to the business relationship. Particular eligibility and any applicable statutory restrictions must be checked.

Does registration give partners limited liability?

No. Registration of a traditional partnership does not turn it into an LLP; partners generally remain personally liable for acts of the firm under the applicable law.

Which law governs partnership firm registration?

The Indian Partnership Act, 1932 supplies the central framework, while the relevant state forms, rules and fees govern local filing.

What details are required by Section 58?

Section 58 requires particulars including the firm name, principal place of business, other business places, each partner’s joining date, full name and permanent address, and firm duration.

Can an unregistered firm bring a suit?

Section 69 restricts specified contractual suits, subject to its precise scope and exceptions. The answer depends on the nature of the claim and the applicable law.

Does the firm need its own PAN?

A firm may need its own PAN for tax and specified transactions. Follow the current Income Tax Department non-individual PAN procedure and supporting-document requirements.

Is GST automatically issued after firm registration?

No. GST registration is a separate process and depends on the firm’s supplies and the applicable statutory triggers and exceptions.

Can a registered partnership change partners?

Yes, subject to the agreement and law. Review the revised deed, Registrar notifications under the applicable provisions and corresponding bank and tax records.

Is a partnership firm the same as an LLP?

No. An LLP is incorporated under separate legislation and has a separate-entity and limited-liability framework; a traditional partnership is governed by the Partnership Act.
