Partnership Deed Drafting in Patna & Bihar: Legal Clauses, Stamp Duty and Registration

Direct answer: A partnership deed is the written agreement recording how partners will run their firm, contribute capital, divide profits and losses, exercise authority, maintain accounts, admit or retire partners and settle disputes. A well-drafted deed is not merely a registration attachment: it is the working governance document of a traditional partnership under the Indian Partnership Act, 1932.

Bihar Tax Consultant provides enquiries for partnership deed drafting and related registration documentation in Patna and Bihar. The precise drafting scope, stamp duty and registration route depend on the partners’ facts, business arrangements and the applicable law. A deed cannot convert a traditional partnership into an LLP, cannot by itself provide a licence to carry on a regulated business and cannot guarantee the treatment of any tax deduction.

This guide explains the agreement before execution, identifies clauses that deserve negotiation, distinguishes firm registration from deed stamping and outlines what partners should preserve for banks, tax proceedings, commercial contracts and future disagreements.

What makes a partnership deed legally important?

Section 4 of the Indian Partnership Act defines partnership by reference to an agreement between persons who share profits of a business carried on by all or any of them acting for all. A deed records that agreement and helps distinguish the actual relationship from an informal commercial understanding. Whether a partnership exists is determined from the real relation between the parties, rather than the document title alone.

Section 11 allows partners, subject to the Act, to determine their mutual rights and duties by contract. Sections 12 and 13 contain rules on conduct of business and mutual rights and liabilities that may operate subject to the agreement. Drafting therefore matters whenever the intended arrangement differs from a statutory default or where silence could produce unnecessary disputes.

A deed should identify every partner accurately, the proposed firm name, principal place of business, nature of work, date of commencement, duration or partnership-at-will status, contribution obligations and governance arrangements. It should also explain how changes are documented instead of relying on verbal understandings.

Partners should read the final document in a language they understand before signing. Neither the presence of stamp paper nor a notarial seal substitutes for clear consent, reliable execution and legally workable terms.

How is a partnership deed different from firm registration and an LLP agreement?

The deed establishes and evidences the contract among partners. Registration of a traditional partnership firm is a separate process under Sections 58–59 of the Indian Partnership Act, subject to state filing practice. Section 69 creates important restrictions on certain suits to enforce contractual rights where the firm or relevant partner is not registered as required. It is therefore unwise to assume that executing a deed produces a registered firm.

An LLP is a different legal form governed by the Limited Liability Partnership Act, 2008, with its own incorporation and agreement-filing processes. An ordinary partnership generally involves the agency of partners and exposure to liability under the Partnership Act. A traditional partnership deed should not borrow LLP terminology such as designated partner or LLPIN merely for presentation.

Stamping is another separate legal question: the applicable instrument and state rules determine duty. Registration of the instrument under registration law, if chosen or otherwise applicable, should not be confused with entry of the firm in the Registrar of Firms records. Banks and tax authorities may ask for additional evidence even where the deed is valid as between partners.

Which details should partners decide before drafting?

Begin with the business model rather than a generic document. Identify who owns the existing assets, whether the business is new or carried over from a proprietorship, which partners will work full-time, and whether the partners expect debt finance, new investors, family succession or geographical expansion.

The contribution clause should distinguish initial fixed capital, later contributions, partner loans and drawings. A partner contributing premises, machinery, intellectual property or goodwill should specify whether ownership is transferred to the firm, merely licensed, or retained with that partner. Valuation and transfer formalities must be handled separately where relevant.

Profit and loss ratios deserve independent agreement. A capital ratio of 60:40 does not automatically require a 60:40 profit ratio. If a working partner receives remuneration in addition to a share of profit, the deed should provide a coherent formula and decision mechanism. The parties should agree whether losses, reserves, extraordinary expenditure and personal withdrawals follow the same proportions.

Identify how ordinary purchases, bank withdrawals, borrowing, guarantees, property transactions and litigation decisions will be authorised. A narrow internal authority limit should be supported by practical controls and appropriate notice to counterparties where necessary; merely inserting a restriction in the deed may not resolve every third-party agency issue.

What clauses should a properly drafted partnership deed contain?

No standard template answers every commercial problem. The deed should express what the partners have actually agreed, using definitions and decision rules that work even after business expansion or disagreement. The following provisions form a practical drafting framework; applicability and wording depend on the particular transaction.

Each clause should be checked against the others. For example, a rule allowing unilateral borrowing must not contradict a clause requiring unanimous approval for security over firm property. Likewise, a retirement clause cannot safely promise a final settlement without a method for valuing stock, work in progress, liabilities and contingent claims.

Identity, business and commencement

State full identifying particulars, firm name, address, permissible activities, start date and whether the firm is at will or for a specified period.

Capital and later funding

Record each partner’s capital contribution, timing, additional-call procedure, partner loans, interest and how valuation disputes will be resolved.

Profit, losses and drawings

Specify ratios, calculation basis, treatment of losses and reserves, timing of distributions and limits on advances or drawings.

Management and decision-making

Allocate operational responsibility, voting rules, quorum or unanimous-consent matters, record access, delegated signing authority and escalation of deadlocks.

Bank accounts and borrowing

Specify who may open and operate accounts, approve payments, borrow, create security or give guarantees, and how mandates will be reviewed.

Working-partner remuneration

Identify eligible working partners and provide a determinable amount or formula, subject to current tax law and actual work performed.

Interest on capital and partner loans

Distinguish capital from loans; state whether interest is payable, calculation method and any statutory tax-deduction limitation.

Books, audit and information

Specify accounting period, books location, access, bank reconciliation, inventory controls, audit arrangements and approval of accounts.

Admission, retirement and expulsion

Deal with consent, valuation, settlement, public notice, continuing obligations and conditions of expulsion, consistent with law.

Death, incapacity and succession

Clarify whether remaining partners may continue, how the deceased partner’s account is valued and how heirs receive settlement.

Confidentiality, IP and conflicts

Address firm name, trademarks, client lists, confidentiality, competing transactions, business opportunities and ownership of work product.

Disputes, dissolution and winding up

Provide negotiation and other lawful dispute procedures, place or seat where relevant, termination triggers and settlement of accounts.

How should partner remuneration, interest and TDS be drafted?

Under Section 40(b) of the Income-tax Act, the treatment of remuneration to working partners and interest to partners depends, among other things, on authorisation in the partnership deed and statutory limits. Payments to a non-working partner described as remuneration are not made deductible simply because the deed allows them. For working partners, the clause should identify eligibility and provide a clear amount or ascertainable calculation.

The applicable Section 40(b) framework limits interest deductible on partner capital or qualifying balances to 12% simple interest per annum and prescribes limits for aggregate remuneration to working partners by reference to book profit. For the rules applicable to the relevant year, the higher first-slab threshold introduced from assessment year 2025–26 is reflected in current tax materials; the final computation should be reviewed against the law governing the specific financial year.

Section 194T, effective from 1 April 2025, introduced TDS obligations for specified payments by a firm to a partner, subject to the statutory threshold and conditions. A deed can describe payment mechanics, but it cannot waive a tax deduction imposed by law. Partners should align bookkeeping, payment approvals, TDS, returns and the exact remuneration formula.

The deed should also distinguish drawings from remuneration, profit distribution, interest and repayment of an actual partner loan. These transactions can carry different accounting and tax consequences. Ambiguous narration in the accounts should not be used to repair an ambiguous underlying agreement.

Which documents are useful for partnership deed drafting?

The starting file should contain reliable identity particulars, business details and the commercial decisions that the partners want the deed to implement. Requirements may differ for individual partners, corporate partners, inherited businesses, contributions of immovable property or regulated sectors.

Where the partnership is already operating, its financial position matters: identify its bank balances, inventory, receivables, unpaid taxes, supplier liabilities, borrowings, employee obligations and existing contracts. An incoming partner should understand what is being contributed and what historic obligations may remain.

  • Names, addresses, PAN and identification particulars of all proposed partners.
  • Proposed firm name, principal office address and evidence of lawful premises use.
  • Nature of business, commencement date and proposed duration.
  • Initial capital, assets contributed, partner loans and agreed valuations.
  • Profit/loss ratios, drawings policy, working-partner remuneration proposal and interest terms.
  • Bank authority matrix, decision thresholds and approved signatories.
  • Existing trade names, intellectual property, contracts and licences, if any.
  • Rules for admission, retirement, death, expulsion, dissolution and dispute handling.
  • Applicable stamp-duty and registration evidence, where already obtained.
  • Details of any foreign, corporate or otherwise specially regulated participant for tailored legal review.

How is a deed drafted, executed and used? An eight-step workflow

Treat preparation as a small governance project rather than merely filling blanks on stamp paper. The following steps make the resulting document more useful for day-to-day operation, registration, banking and later amendment.

  1. Collect partner instructions: record identities, proposed activities, capital and authority arrangements; resolve conflicting oral instructions.
  2. Classify the business: confirm that an ordinary partnership, not an LLP or company, is intended; identify regulated activities.
  3. Negotiate commercial terms: agree ratios, working roles, drawings, investments, borrowing limits and key reserved decisions.
  4. Draft the complete instrument: prepare integrated provisions for operation, accounts, exit, valuation, disputes and dissolution.
  5. Conduct a legal and tax review: check agency implications, remuneration provisions, Section 40(b), TDS and any special contractual restrictions.
  6. Confirm stamping and execution: calculate applicable Bihar stamp treatment for the actual instrument and execute through the appropriate process.
  7. Consider firm registration: prepare the separate Section 58 application and current Bihar eNibandhan filing materials where registration is sought.
  8. Implement and preserve: retain signed originals, register relevant particulars, obtain PAN and activity-specific registrations as applicable, and circulate bank/signatory instructions.

What should Bihar partners know about stamp duty, registration and costs?

Bihar publishes registration and stamp-duty information through its Registration Department. The Department directs new society and firm registration applications to eNibandhan. Because the charge may depend on the character of the instrument, amendments and the current portal workflow, the applicable duty and filing fee should be confirmed for the actual deed rather than advertised as one universal package price.

A drafting fee, stamp duty, notarial or registration charges, Registrar of Firms filing charges and later PAN/GST/professional service costs are distinct. A quoted professional fee should state exactly which tasks it includes. A deed’s stamp-value calculation should not be guessed from the capital contribution alone without checking the relevant state provision.

Traditional firm registration is not the same as registration of every business activity. Depending on the facts, the firm may need PAN, GST registration, a local trade licence, Shops and Establishments registration, food permissions, import-export registration or other sector-specific compliance. Each requirement has its own trigger.

Partners should also avoid backdating a document to claim entitlement to tax treatment for a period not authorised by the applicable deed. Where a business began earlier, document the actual history and obtain fact-specific advice on the correct effective date and records.

How should admission, retirement, death and dissolution be handled?

An agreement that works only while partners get along is incomplete. Under the Partnership Act, admission of a new partner and the consequences of retirement require careful attention. A deed may provide consent requirements and valuation machinery, but the partners should also examine liabilities to third parties, required notices and changes to registration particulars.

On retirement, determine the outgoing partner’s capital balance, accrued profits, drawings, loans, share of goodwill and share in contingent liabilities. The deed should establish a valuation date, who prepares the accounts, a mechanism for disagreement and the timing or security of instalments. A settlement memorandum should record what has actually been paid.

Death or incapacity requires an equally careful approach. The deed may anticipate whether the surviving partners continue the business and how the deceased partner’s estate is settled. It should not assume that an heir automatically becomes a partner without considering the governing legal and contractual framework.

For dissolution, the deed should identify the agreed triggers, authority to realise assets, responsibility for customer and employee notifications, debt collection, settlement priorities and treatment of goodwill. Section 48 supplies an important statutory framework for settling accounts on dissolution, subject to the applicable agreement and legal requirements.

What common drafting mistakes should partners avoid?

Copying a generic deed without discussing the real business is a recurring problem. A wholesale trader, professional consultancy, restaurant and manufacturing firm face different risk patterns. If the deed says every partner may bind the firm, but the partners actually expect two signatures for material purchases, the mismatch needs attention before execution.

Undefined remuneration clauses also invite avoidable tax disputes. A statement that working partners may draw an unspecified amount “as decided later” should be reviewed against the requirement that remuneration be authorised by, and in accordance with, the deed. The business should document later amendments prospectively rather than assume they cure every earlier period.

Omitting rules for electronic payments, payment gateways, GST portal access and company devices can be commercially significant. The deed should contain a practical approval matrix, supported by bank mandates, accounting controls and periodic access reviews.

Confusing a capital contribution with a temporary loan can distort the settlement account. An asset belonging personally to a partner should not be treated as firm property without an agreed transfer or licence arrangement. Firm name and trademark ownership also deserve express attention.

Finally, partners should not assume that registering a deed resolves every legal issue. The firm may still need separate registration, tax filings, trade permissions, properly documented changes in constitution, and compliance with contracts already entered into.

Fictional Bihar makhana business: why the deed matters before export

Fictional educational example, not a client case. Three entrepreneurs in Darbhanga plan to source and package makhana for domestic sales and possible exports. One will contribute funds, another will manage procurement and quality, and the third will develop sales and logistics. They choose a traditional partnership after considering the different liability and governance characteristics of an LLP and company.

Their deed identifies contribution amounts, ownership and permitted use of packaging machinery, compensation for active partners, procurement limits and who may approve supplier advances. It defines what happens if one partner uses the brand name for a separate venture, if the working partner retires or if export-related quality claims create a dispute.

Before overseas sales, the partners separately review the relevant IEC, food-business rules, product and packaging requirements, any APEDA-related obligations, banking and foreign-exchange documentation, customs rules and destination-market standards. They confirm applicable requirements from the competent authorities rather than assuming that execution or registration of the partnership deed itself authorises exports.

The deed also addresses how new export profits and losses will be attributed, who may accept purchase orders and whether a large foreign-currency commitment requires unanimous consent. This illustrates why clear governance is useful even before the firm signs its first international contract.

Books of account, audit, bank reconciliation, stock verification

When should an existing partnership deed be amended?

A supplementary or reconstituted deed may be appropriate when an agreed term changes materially. Examples include admitting a partner, retiring a partner, changing profit-sharing ratios, introducing a new class of partner contribution, revising management authority, adding a new business line or replacing the existing remuneration formula. The document should identify the original deed and state exactly which provisions are replaced and which remain operative.

An amendment should be timed and evidenced accurately. It should not purport to rewrite historic transactions merely to obtain a more favourable tax result. Where a change affects the firm’s registered particulars, the partners should separately examine the relevant Registrar of Firms update and any notices required under the Partnership Act and state procedure. A change in the deed can also require bank-mandate updates, GST-authorised-signatory changes, revised invoices, accounting modifications and notice to material commercial counterparties.

An admission or retirement also requires a fresh assessment of commercial risk. Check whether the incoming partner assumes responsibility for identified business obligations, whether a lender requires fresh guarantees, whether an outgoing partner remains a guarantor, and whether existing supply contracts require consent or notification. A clause in a private deed does not automatically release a person from an independent obligation owed to a bank or another third party.

Preserve each signed amendment with the original instrument, any updated registration extract, supporting resolutions or written consents, bank correspondence and revised partner capital accounts. Using one version-controlled document set helps accountants, banks and advisers avoid implementing outdated signing limits or profit-sharing percentages.

How should partners address records, digital access and business continuity?

Commercial control now extends beyond the physical office. A partnership may use net banking, UPI merchant accounts, payment gateways, e-commerce marketplaces, cloud accounting, GST and income-tax accounts, social-media profiles and an export portal. A deed should allocate responsibility for these systems and require a recorded handover when authority changes, without placing passwords themselves inside the deed.

The operational schedule can identify who may create vendors, authorise refunds, approve credit limits, sign purchase orders, control inventory and instruct the accountant. Specify an independent review or two-person approval for unusually large or related-party transactions where suitable. Rights to inspect financial records should be practical: identify the frequency of management reports and how a partner can obtain invoices, statements and underlying documents.

Partners should discuss whether the business may continue during absence, illness, retirement or a prolonged decision-making deadlock. Identify an emergency contact and temporary operating limits while preserving any statutory duties and third-party obligations. Where the firm owns a domain, trademark application or customer database, document control and the permitted use after an exit.

For a growing firm, schedule an annual review of the agreement, bank mandate, assets register and insurance arrangements. This is a governance recommendation, not a universal statutory annual deed-filing requirement. The purpose is to keep commercial reality, signed documents and external authority records consistent.
